Material Expenditures Clause Samples
Material Expenditures. Without the prior written consent of the Lender, make any capital expenditure or restructuring expenditure, or any other expenditure in excess of $2,000,000, other than as expressly provided for in the most recent Budget provided to the Lender pursuant to Section 6.1(j), which consent shall not be unreasonably withheld or delayed.
Material Expenditures. Make, or permit any Subsidiary to make, any expenditures (other than expenses for inventory or equipment purchases in the ordinary course of business) in excess of $1,000,000 in the aggregate in any fiscal year, or any individual expenditure in excess of $500,000, and not included in the Company’s annual operating budget, or any acquisition by the Company or any Subsidiary of another person or entity for a consideration in excess of $100,000.
