Common use of Material Disclosures Clause in Contracts

Material Disclosures. No statement, representation or warranty made by Seller in this Agreement, in any Exhibit hereto or in the Disclosure Schedule, or in any certificate, statement, list, schedule or other document furnished or to be furnished to Buyer hereunder, contains or will contain any untrue statement of a material fact, or fails or will fail to state a material fact necessary to make the statements contained herein or therein, in light of the circumstances in which they are made, not materially misleading.
