Material Disclosures. No representation or warranty of Buyer in this Agreement or in any other certificate or other document furnished or to be furnished by Buyer pursuant hereto, and no statement in any Schedule, contains or will contain any untrue statement of a Material fact or omits or will omit to state a Material fact necessary to make the statements herein or therein, in light of the circumstances in which they were made, not misleading or will omit to state a Material fact necessary in order to provide Sellers with accurate information as to Buyer and Parent.
