Common use of Material Disclosures Clause in Contracts

Material Disclosures. No statement, repre sentation or warranty made by Buyer in this Agreement, in any exhibit hereto, or in any certificate, statement, list, schedule or other document furnished or to be furnished by Buyer hereunder, contains or will contain any untrue state ment of material fact, or fails or will fail to state a material fact necessary to make the statements contained herein or therein, in light of the circumstances in which they are made, not materially misleading.

Material Disclosures.
