Common use of Master Lease Clause in Contracts

Master Lease. As applied to this Sublease, the words “Landlord” and “Tenant” as used in the Master Lease shall be deemed to refer to Sublandlord and Subtenant hereunder, respectively. Subtenant and this Sublease shall be subject in all respects to the terms of, and the rights of the Landlord under, the Master Lease. Except as otherwise expressly provided in Section 7 hereof, the covenants, agreements, terms, provisions and conditions of the Master Lease insofar as they relate to the Subleased Premises and insofar as they are not inconsistent with the terms of this Sublease are made a part of and incorporated into this Sublease as if recited herein in full, and the rights and obligations of the Landlord and the Tenant under the Master Lease shall be deemed the rights and obligations of Sublandlord and Subtenant respectively hereunder and shall be binding upon and inure to the benefit of Sublandlord and Subtenant respectively. As between the parties hereto only, in the event of a conflict between the terms of the Master Lease and the terms of this Sublease, the terms of this Sublease shall control.

As between Subtenant further covenants and warrants that in addition to the parties hereto only, in the event of a conflict between the terms specific sections of the Master Lease referenced above (1) it fully understands and agrees to be subject to, and bound by all other covenants, agreements, terms, provisions, and conditions of the terms of this Sublease, Master Lease to the terms of this Sublease shall control.extent they apply to the Subleased Premises; and

Except as otherwise expressly provided in Section 7 8 hereof, the covenants, agreements, terms, provisions and conditions of the Master Lease insofar as they relate to the Subleased Premises and insofar as they are not inconsistent with the terms of this Sublease are made a part of and incorporated into this Sublease as if recited herein in full, and the rights and obligations of the Landlord and the Tenant under the Master Lease shall be deemed the rights and obligations of Sublandlord and Subtenant respectively hereunder and shall be binding upon and inure to the benefit of Sublandlord and Subtenant respectively. As between the parties hereto only, in the event of a conflict between the terms of the Master Lease and the terms of this Sublease, the terms of this Sublease shall control.

In this regard but with respect to the Premises only, Subtenant hereby assumes, covenants and agrees with Sublandlord to perform and be bound by and subject to all of the terms and conditions contained in full, the Master Lease to be performed by the "Tenant" thereunder or by which the "Tenant" is bound under the Master Lease and Sublandlord hereby agrees that Subtenant will have the benefit of all rights and obligations remedies of the Landlord and the Tenant under the Master Lease shall be deemed Lease. Sublandlord does not assume the rights and obligations of Sublandlord and Subtenant respectively hereunder and the Master Landlord under the provisions of the Master Lease, but shall be binding upon and inure exercise due diligence in attempting to cause Master Landlord to perform its obligations under the Master Lease for the benefit of Sublandlord and Subtenant respectivelySubtenant. As between the parties hereto to this Sublease only, in the event of a conflict between the terms of the Master Lease and the terms terns of this Sublease, the terms of this Sublease shall will control.

Subtenant Sublessee and this Sublease shall be subject in all respects to the terms of, and the rights of the Landlord under, the Master Lease. Except as otherwise expressly provided in Section 7 Paragraph 11(b) hereof, the covenants, agreements, terms, provisions and conditions of the Master Lease insofar as they relate to the Subleased Premises and insofar as they are not inconsistent with the terms of this Sublease are made a part of and incorporated into this Sublease as if recited herein in full, and the rights and obligations of the Landlord and the Tenant under the Master Lease shall be deemed the rights and obligations of Sublandlord Ariba and Subtenant respectively Sublessee, respectively, hereunder and shall be binding upon and inure to the benefit of Sublandlord Ariba and Subtenant Sublessee, respectively. As between the parties hereto only, in the event of a conflict between the terms of the Master Lease and the terms of this Sublease, the terms of this Sublease shall control.

In this regard, Subtenant hereby assumes, covenants and agrees with Sublandlord to perform and be deemed bound by and subject to all of the rights terms and conditions contained in the Master Lease to be performed by the "Tenant" thereunder or by which the "Tenant" is bound under the Master Lease as the same relate to the Premises. Sublandlord does not assume the obligations of Sublandlord and Subtenant respectively hereunder and the Master Landlord under the provisions of the Master Lease, but shall be binding upon and inure exercise due diligence in attempting to cause Master Landlord to perform its obligations under the Master Lease for the benefit of Subtenant. Sublandlord and grants Subtenant respectivelythe right at its option, to enforce Sublandlord's rights under the Master Lease as they affect or relate to the Premises. As between the parties hereto only, in the event of a conflict between the terms of the Master Lease and the terms of this Sublease, the terms of this Sublease shall control. Subtenant covenants and warrants that it fully understands and agrees to be subject to and bound by all of the covenants, agreements, terms, provisions and conditions of the Master Lease applicable to Tenant, except as modified herein.

Subtenant and this Sublease shall be subject in all respects to the terms of, and the rights of the Landlord under, the Master Lease. Except as otherwise expressly provided in Section 7 8 hereof, the covenants, agreements, terms, provisions and conditions of the Master Lease insofar as they relate to the Subleased Premises and insofar as they are not inconsistent with the terms of this Sublease are made a part of and incorporated into this Sublease as if recited herein in full, and the rights and obligations of the Landlord and the Tenant under the Master Lease shall be deemed the rights and obligations of Sublandlord and Subtenant respectively hereunder and shall be binding upon and inure to the benefit of Sublandlord and Subtenant respectively. As between the parties hereto only, in the event of a conflict between the terms of the Master Lease and the terms of this Sublease, the terms of this Sublease shall control.

Subject to Section 7.1 below, and the rights and obligations of the Landlord “Landlord” and the Tenant “Tenant” under the Master Lease shall will be deemed the rights and obligations of Sublandlord and Subtenant respectively hereunder Subtenant, respectively, under this Sublease, and shall be binding upon and will inure to the benefit of of, and be binding on, Sublandlord and Subtenant Subtenant, respectively. As between the parties hereto to this Sublease only, in the event of a conflict between the terms of the Master Lease and the terms of this Sublease, the terms of this Sublease shall will control, except to the extent that adherence to a conflicting provision of this Sublease would (a) constitute a breach of the Master Lease, (b) require Sublandlord to take some action, provide a benefit, or refrain from taking action in violation of, or not provided by, the Master Lease, or (c) that would result in Subtenant paying to Sublandlord less than 100% of all Additional Rent Sublandlord is required to pay to Master Landlord under the Master Lease.
