Common use of MAS Clause in Contracts

MAS. MAS represents and warrants, after due inquiry by its directors and officers, and covenants that: (a) It is a corporation duly organized, validly existing and in good standing under the laws of the State of Texas; (b) Exhibit A is a true and accurate copy of the Baylor Agreement, which has not been amended, modified or otherwise altered prior to the Execution Date; and (c) Exhibit D and Exhibit E are true and accurate copies of the LumiCyte Agreement and the LumiGen Agreement, respectively, prior to giving effect to the amendments set forth in Section 2.1 and Section 2.2, respectively, of the Assignment Agreement.
