Manheim Indebtedness. Other than (A) potential payments pursuant to Schedule A hereof and (B) potential payments pursuant to the Escrow Agreement, all amounts owed pursuant to the Manheim Indebtedness have been paid and the shares of common stock of the Company pledged related to the Manheim Indebtedness have been released and cancelled by the Company. ▇▇▇▇▇▇ and ▇▇▇▇▇▇ ▇▇▇▇▇▇▇ shall have issued an unconditional release in favor of the OP Entities, such release to be in a form approved by Parent.
