Common use of Managing Member Approval Clause in Contracts

Managing Member Approval. The Managing Member’s consent to the: (a) transfer of the Sale Membership Interests to Purchaser (or its designee); and (b) admission of the Purchaser (or its designee) as a member in the Company (the “Managing Member Approval”) shall be a condition precedent to Purchaser’s and Seller’s obligation to close the transaction under this Agreement. The Managing Member Approval shall be in form and substance acceptable to Purchaser and substantially in the form attached hereto as Exhibit C. Seller shall use commercially reasonable efforts to obtain and deliver to Purchaser the Managing Member Approval.
