Common use of Management LLC Clause in Contracts

Management LLC. The parties acknowledge and agree that, as of the date of this Agreement, Management LLC does not “beneficially own” (as such term is defined in Rule 13d-3 of the Exchange Act) any Company Securities, but may, from time to time after the date of this Agreement, acquire Company Securities that shall be subject to the registration rights set forth herein. Upon such acquisition of Company Securities, Management LLC shall automatically, and without any further action being required, be a “Shareholder” for all purposes of this Agreement.
