Common use of Management Certifications Clause in Contracts

Management Certifications. In addition to the responsibilities set forth in this CIA for all Covered Persons, certain Spring Gate employees (Certifying Employees) are expected to monitor and oversee activities within their areas of authority and shall annually certify that the applicable Spring Gate department is in compliance with applicable Federal health care program requirements, with the obligations of this CIA, and with professionally recognized standards of healthcare. These Certifying Employees shall include, at a minimum, the following: Administrator; Director of Nursing; Medical Director; Assistant Director of Nursing; Social Worker; Activities Director; Director of Therapy and Respiratory Therapy Director. For each Reporting Period, each Certifying Employee shall sign a certification that states: “I have been trained on and understand the compliance requirements and responsibilities as they relate to [insert name of department], an area under my supervision. My job responsibilities include ensuring compliance with regard to the [insert name of department] with all applicable Federal health care program requirements, obligations of the Corporate Integrity Agreement, professionally recognized standards of healthcare, and Spring Gate policies, and I have taken steps to promote such compliance. To the best of my knowledge, the [insert name of department] of Spring Gate is in compliance with all applicable Federal health care program requirements, the obligations of the Corporate Integrity Agreement, and professionally recognized standards of healthcare. I understand that this certification is being provided to and relied upon by the United States.” If any Certifying Employee is unable to provide such a certification, the Certifying Employee shall provide a written explanation of the reasons why he or she is unable to provide the certification outlined above.

Management Certifications. In addition to the responsibilities set forth in this CIA for all Covered Persons, certain Spring Gate Home Bound employees (Certifying Employees) are specifically expected to monitor and oversee activities within their areas of authority and shall annually certify that the applicable Spring Gate Home Bound department is in compliance with applicable Federal health care program requirements, requirements and with the obligations of this CIA, and with professionally recognized standards of healthcare. These Certifying Employees shall include, at a minimum, the following: following (or if titles change, the people with the same responsibilities): Home Bound’s owner, President, Executive Vice President, Regional Administrative Consultant for Home Health, Compliance Officer, Billing Manager, Hospice Administrator; Director of Nursing; Medical Director; Assistant Director of Nursing; Social Worker; Activities Director; Director of Therapy and Respiratory Therapy Director, DME Administrator. For each Reporting Period, each Certifying Employee shall sign a certification that states: “I have been trained on and understand the compliance requirements and responsibilities as they relate to [insert name of department], an area under my supervision. My job responsibilities include ensuring compliance with regard to the [insert name of department] with all applicable Federal health care program requirements, obligations of the Corporate Integrity Agreement, professionally recognized standards of healthcare, and Spring Gate Home Bound policies, and I have taken steps to promote such compliance. To the best of my knowledge, the [insert name of department] of Spring Gate Home Bound is in compliance with all applicable Federal health care program requirements, requirements and the obligations of the Corporate Integrity Agreement, and professionally recognized standards of healthcare. I understand that this certification is being provided to and relied upon by the United States.” If any Certifying Employee is unable to provide such a certification, the Certifying Employee shall provide a written explanation of the reasons why he or she is unable to provide the certification outlined above.

These Certifying Employees shall include, at a minimum, the following: Administrator; Director of Nursing; Medical Director; Assistant Director of Nursing; Social Worker; Activities Director; Director of Therapy and Respiratory Therapy Director. For each Reporting Period, each Certifying Employee Covered Person shall sign a certification that states: “I have been trained on and understand the compliance requirements and responsibilities as they relate to [insert name of department], an area under my supervision. My job responsibilities include ensuring compliance with regard to the [insert name of department] with all applicable Federal health care program requirements, obligations of the Corporate Integrity Agreement, professionally recognized standards of healthcareand Good Shepherd Hospice, and Spring Gate Springfield, L.L.C. policies, and I have taken steps to promote such compliance. To the best of my knowledge, except as otherwise described herein, the [insert name of department] of Spring Gate Good Shepherd Hospice, Springfield, L.L.C. is in compliance with all applicable Federal health care program requirements, requirements and the obligations of the Corporate Integrity Agreement, and professionally recognized standards of healthcare. I understand that this certification is being provided to and relied upon by the United States.” If any Certifying Employee Covered Person is unable to provide such a certification, the Certifying Employee Covered Person shall provide a written explanation of the reasons why he or she is unable to provide the certification outlined above.

In addition to the responsibilities set forth in this CIA for all Covered Persons, certain Spring Gate Gamma employees (Certifying Employees) are expected to monitor and oversee activities within their areas of authority and shall annually certify that the applicable Spring Gate Gamma department is in compliance with applicable Federal health care program requirements, with requirements and the obligations of this CIA, and with professionally recognized standards of healthcare. These Certifying Employees shall include, at a minimum, the following: Administrator; Chief Information Officer, Director of Nursing; Medical Director; Assistant Accounts Payable, Director of Nursing; Social Worker; Activities Director; Human Resources, Chief Financial Officer, Director of Therapy Laboratory Services, Director of Radiology, Compliance Officer, and Respiratory Therapy DirectorDirector of Field Operators and Customer Service. For each Reporting Period, each Certifying Employee shall sign a certification that states: “I have been trained on and understand the compliance requirements and responsibilities as they relate to [insert name of department], an area under my supervision. My job responsibilities include ensuring compliance with regard to the [insert name of department] with all applicable Federal health care program requirements, obligations of the Corporate Integrity Agreement, professionally recognized standards of healthcare, and Spring Gate Gamma policies, and I have taken steps to promote such compliance. To the best of my knowledge, the [insert name of department] of Spring Gate Gamma is in compliance with all applicable Federal health care program requirements, requirements and the obligations of the Corporate Integrity Agreement, and professionally recognized standards of healthcare. I understand that this certification is being provided to and relied upon by the United States.” If any Certifying Employee is unable to provide such a certification, the Certifying Employee shall provide a written explanation of the reasons why he or she is unable to provide the certification outlined above.

These Certifying Employees shall include, at a minimum, the following: Administrator; Director Chief Executive Officer, Administrators, Directors of Nursing; , Staffing Directors, Medical Director; Assistant Director Directors, and other senior leaders of Nursing; Social Worker; Activities Director; Director of Therapy operations that relate to Federal health care programs and Respiratory Therapy Director. beneficiaries For each Reporting Period, each Certifying Employee shall sign a certification that states: “I have been trained on and understand the compliance requirements and responsibilities as they relate to [insert name of department], an area under my supervision. My job responsibilities include ensuring compliance with regard to the [insert name of department] with all applicable Federal health care program requirements, obligations of the Corporate Integrity Agreement, professionally recognized standards of healthcare, and Spring Gate Vanguard policies, and I have taken steps to promote such compliance. To the best of my knowledge, the [insert name of department] of Spring Gate Vanguard is in compliance with all applicable Federal health care program requirements, the obligations of the Corporate Integrity Agreement, and professionally recognized standards of healthcare. I understand that this certification is being provided to and relied upon by the United States.” If any Certifying Employee is unable to provide such a certification, the Certifying Employee shall provide a written explanation of the reasons why he or she is unable to provide the certification outlined above.

Management Certifications. In addition to the responsibilities set forth in this CIA for all Covered Persons, certain Spring Gate PFH employees (Certifying Employees) are expected to monitor and oversee activities within their areas of authority and shall annually certify that the applicable Spring Gate PFH department is in compliance with applicable Federal health care program requirements, with requirements and the obligations of this CIA, and with professionally recognized standards of healthcare. These Certifying Employees shall include, at a minimum, the following: Administrator; Director Chief Executive Officer, Chief Financial Officer, Chief of Nursing; Medical Director; Assistant Director Human Resources, and all executives with a title of Nursing; Social Worker; Activities Director; Director of Therapy Vice President and Respiratory Therapy Directorabove that oversee Covered Functions. For each Reporting Period, each Certifying Employee shall sign a certification that states: “I have been trained on and understand the compliance requirements and responsibilities as they relate to [insert name of department], an area under my supervision. My job responsibilities include ensuring compliance with regard to the [insert name of department] with all applicable Federal health care program requirements, obligations of the Corporate Integrity Agreement, professionally recognized standards of healthcare, and Spring Gate PFH policies, and I have taken steps to promote such compliance. To the best of my knowledge, the [insert name of department] of Spring Gate PFH is in compliance with all applicable Federal health care program requirements, requirements and the obligations of the Corporate Integrity Agreement, and professionally recognized standards of healthcare. I understand that this certification is being provided to and relied upon by the United States.” If any Certifying Employee is unable to provide such a certification, the Certifying Employee shall provide a written explanation of the reasons why he or she is unable to provide the certification outlined above.

Management Certifications. In addition to the responsibilities set forth in this CIA for all Covered Persons, certain Spring Gate KRHS employees (Certifying Employees) are specifically expected to monitor and oversee activities within their areas of authority and shall annually certify that the applicable Spring Gate KRMC, HC, and NOSM department is in compliance with applicable Federal health care program requirements, requirements and with the obligations of this CIA, and with professionally recognized standards of healthcare. These Certifying Employees shall include, at a minimum, the following: Administrator; Director Executive Vice President and Chief Financial Officer of Nursing; KRH, Executive Vice President and Chief Information Officer of KRH, Executive Vice President and Chief Operating Officer of KRH, Executive Vice President and Chief Nursing Officer of KRH, Executive Vice President of Ambulatory for KRH, Chief Executive Officer of HC, Executive Vice President and Chief Medical Director; Assistant Director Officer of Nursing; Social Worker; Activities Director; Director of Therapy KRH, and Respiratory Therapy DirectorExecutive Vice President and Chief Strategy Officer or KRH. For each Reporting Period, each Certifying Employee shall sign a certification that states: “I have been trained on and understand the compliance requirements and responsibilities as they relate to [insert name of department], an area under my supervision. My job responsibilities include ensuring compliance with regard to the [insert name of department] with all applicable Federal health care program requirements, obligations of the Corporate Integrity Agreement, professionally recognized standards and [insert name of healthcare, and Spring Gate entity] policies, and I have taken steps to promote such compliance. To the best of my knowledge, the [insert name of department] of Spring Gate [insert name of entity] is in compliance with all applicable Federal health care program requirements, requirements and the obligations of the Corporate Integrity Agreement, and professionally recognized standards of healthcare. I understand that this certification is being provided to and relied upon by the United States.” If any Certifying Employee is unable to provide such a certification, the Certifying Employee shall provide a written explanation of the reasons why he or she is unable to provide the certification outlined above.

Management Certifications. In addition to the responsibilities set forth in this CIA for all Covered Persons, certain Spring Gate CareMed employees (Certifying Employees) are specifically expected to monitor and oversee activities within their areas of authority and shall annually certify that the applicable Spring Gate CareMed department is in compliance with applicable Federal health care program requirements, requirements and with the obligations of this CIA, and with professionally recognized standards of healthcare. These Certifying Employees shall include, at a minimum, the following: Administrator; Chief Executive Officer, Chief Financial Officer, Senior Vice President of Sales and Marketing, Director of Nursing; Medical Director; Assistant Training, Intake Coordinator, Senior Clinical Registered Pharmacist, Claims Processing Manager, Coding and Billing Managers, and Director of Nursing; Social Worker; Activities Director; Director of Therapy the Call Center (Patient Referrals and Respiratory Therapy DirectorOrders). For each Reporting Period, each Certifying Employee shall sign a certification that states: “I have been trained on and understand the compliance requirements and responsibilities as they relate to [insert name of department], an area under my supervision. My job responsibilities include ensuring compliance with regard to the [insert name of department] department with all applicable Federal health care program requirements, obligations of the Corporate Integrity Agreement, professionally recognized standards of healthcare, and Spring Gate CareMed policies, and I have taken steps to promote such compliance. To the best of my knowledge, except as otherwise described herein, the [insert name department of department] of Spring Gate CareMed is in compliance with all applicable Federal health care program requirements, requirements and the obligations of the Corporate Integrity Agreement, and professionally recognized standards of healthcare. I understand that this certification is being provided to and relied upon by the United States.” If any Certifying Employee is unable to provide such a certification, the Certifying Employee shall provide a written explanation of the reasons why he or she is unable to provide the certification outlined above. Within 120 days after the Effective Date, CareMed shall develop and implement a written process for Certifying Employees to follow for the purpose of completing the certification required by this section (e.g., reports that must be reviewed, assessments that must be completed, sub-certifications that must be obtained, etc. prior to the Certifying Employee making the required certification).

Management Certifications. In addition to the responsibilities set forth in this CIA for all Covered Persons, certain Spring Gate SPD employees (Certifying Employees) are specifically expected to monitor and oversee activities within their areas of authority and shall annually certify that the applicable Spring Gate SPD department is in compliance with applicable Federal health care program requirements, and FDA requirements and with the obligations requirements of this CIA, and with professionally recognized standards of healthcare. These Certifying Employees shall include, at a minimum, the following: AdministratorVice President, Direct Sales Management; Director of NursingSenior Vice President, General Manager Acute Distribution & Services; Medical DirectorVice President, Financial Planning & Analysis; Assistant Director of NursingVice President, Revenue Management; Social WorkerVice President, Global Finance Shared Services; Activities Director; Director of Therapy and Respiratory Therapy DirectorVice President, Account Management National Markets. For each Reporting Period, each Certifying Employee shall sign a certification that states: “I have been trained on and understand the compliance requirements and responsibilities as they relate to [insert name of department], an area under my supervision. My job responsibilities include ensuring compliance with regard to the [insert name of department] with all applicable Federal health care program requirements, obligations FDA requirements, requirements of the Corporate Integrity Agreement, professionally recognized standards of healthcare, and Spring Gate SPD policies, and I have taken steps to promote such compliance. To the best of my knowledge, the [insert name of department] of Spring Gate SPD is in compliance with all applicable Federal health care program requirements, requirements and the obligations requirements of the Corporate Integrity Agreement, and professionally recognized standards of healthcare. I understand that this certification is being provided to and relied upon by the United States.” If any Certifying Employee is unable to provide such a certification, the Certifying Employee shall provide a written explanation of the reasons why he or she is unable to provide the certification outlined above. Within 90 days after the Effective Date, SPD shall develop and implement a written process for Certifying Employees to follow for the purpose of completing the certification required by this section (e.g., reports that must be reviewed, assessments that must be completed, sub-certifications that must be obtained, etc. prior to the Certifying Employee making the required certification).

Management Certifications. In addition to the responsibilities set forth in this CIA for all Covered Persons, certain Spring Gate EAP and GMLC employees (Certifying Employees) are expected to monitor and oversee activities within their areas of authority and shall annually certify that the applicable Spring Gate department is EAP and GMLC departments are in compliance with applicable Federal health care program requirements, with requirements and the obligations of this CIA, and with professionally recognized standards of healthcare. My job responsibilities include ensuring compliance with regard to the [insert name of department] with all applicable Federal health care program requirements, obligations of the Corporate Integrity Agreement, professionally recognized standards of healthcare, and Spring Gate EAP/GMLC policies, and I have taken steps to promote such compliance. To the best of my knowledge, the [insert name of department] of Spring Gate EAP/GMLC is in compliance with all applicable Federal health care program requirements, requirements and the obligations of the Corporate Integrity Agreement, and professionally recognized standards of healthcare.
