MALL. II Buyer is a limited partnership duly organized and validly existing under the laws of the State of Delaware.

MALL. II Buyer has all necessary power and lawful authority to own and operate its assets and properties and to carry on its business (including all transactions contemplated under this Agreement and the Closing Instruments).

MALL. II Owner shall continuously (subject to Force Majeure Events) operate and exclusively use (or cause to be used) the Phase II Mall as a retail and restaurant complex and for ancillary uses in a manner and at a level that shall be no less than the quality and standard of the Phase I Mall as of the date hereof, subject to the covenants and restrictions set forth in the further provisions of this Section C of Article IV. Mall II Owner's obligations under this Section C(1) of Article IV are subject to Force Majeure Events.
