Common use of Maintenance of Register Clause in Contracts

Maintenance of Register. The Administrative Agent, acting for this purpose as a non-fiduciary agent of the Borrower, shall maintain at one of its offices a copy of each Assignment and Assumption delivered to it and a register for the recordation of the names and addresses of the Lenders, and the Revolving Credit Commitment of, and principal amount (and stated interest) of the Revolving Credit Loans and Unpaid Drawings owing to, each Lender pursuant to the terms hereof from time to time (the “Register”). The entries in the Register shall be conclusive absent manifest error, and the Borrower, the Administrative Agent, each Letter of Credit Issuer and the Lenders shall treat each Person whose name is recorded in the Register pursuant to the terms hereof as a Lender hereunder for all purposes of this Agreement, notwithstanding notice to the contrary. The Register shall be available for inspection by the Borrower, each Letter of Credit Issuer and any Lender (but only, in the case of a Lender, at the Administrative Agent’s office set forth for the Administrative Agent in Section 12.2(a)(ii) and with respect to any entry relating to such Lender’s Revolving Credit Commitments or Revolving Credit Loans), at any reasonable time and from time to time upon reasonable prior notice.

The entries in the Register shall be conclusive absent manifest errorconclusive, and the BorrowerCompany, the Administrative Agent, each Letter of Credit Issuer the Issuing Lenders and the Lenders shall may treat each Person whose name is recorded in the Register pursuant to the terms hereof as a Lender hereunder for all purposes of this Agreement, notwithstanding notice to the contrary. The Register shall be available for inspection by the Borrower, each Letter of Credit Issuer and any Lender (but only, in the case of a Borrower or any Issuing Lender, at the Administrative Agent’s office set forth for the Administrative Agent in Section 12.2(a)(ii) and with respect to any entry relating to such Lender’s Revolving Credit Commitments or Revolving Credit Loans), at any reasonable time and from time to time upon reasonable prior notice. Any Lender shall be entitled to obtain confirmation from the Administrative Agent of the entries in the Register with respect to such Lender for purposes of verifying the amount of its Revolving Credit Commitments, Incremental Loan Commitments and Synthetic LC Funding Amounts recorded in the Register.
