Common use of Maintenance of Ratings Clause in Contracts

Maintenance of Ratings. The Borrower will use commercially reasonable efforts to obtain and maintain (but not maintain any specific rating) a corporate family and/or corporate credit rating, as applicable, and ratings in respect of the Term Loans provided pursuant to this Agreement, in each case, from each of S&P and Xxxxx’x.

Maintenance of Ratings. The Borrower will use commercially reasonable efforts to obtain and maintain (but not maintain any specific rating) a corporate family and/or corporate credit ratingrating in respect of the Borrower, as applicable, and ratings in respect of the Term Loans credit facilities provided pursuant to this Agreement, in each case, from each of S&P and Xxxxx’x.

Maintenance of Ratings. The Borrower will shall use its commercially reasonable efforts to obtain maintain a (i) long-term public credit rating of the Borrower and maintain (but not maintain any specific ratingii) a corporate family and/or corporate credit rating, as applicable, and ratings in respect of rating for the Term Loans provided pursuant to this AgreementFacilities, in each case, from each of both S&P and Xxxxx’x; provided that in no event shall the Borrower be required to maintain any specific rating with any such rating agency.

Maintenance of Ratings. The Borrower will use commercially reasonable efforts to obtain and maintain (but not maintain any specific rating) have a corporate family and/or rating and a rating with respect to its senior secured debt issued by Xxxxx’x and a corporate credit rating, as applicable, rating and ratings in a rating with respect of the Term Loans provided pursuant to this Agreement, in each case, from each of S&P and Xxxxx’x.its senior secured debt issued by S&P.

Maintenance of Ratings. The Borrower will shall use commercially reasonable efforts to obtain maintain public corporate credit and maintain (but not maintain any specific rating) a public corporate family and/or corporate credit rating, as applicable, ratings and public ratings in with respect of to the Initial Term Loans provided pursuant to this Agreement, in each case, from each of S&P and Xxxxx’xMxxxx’x; provided that in no event shall the Borrower be required to maintain any specific rating with any such agency.

The Borrower will use commercially reasonable efforts to obtain cause the Term Loans and maintain the Borrower’s corporate credit or corporate family credit rating to continue to be rated by either Standard & Poor’s Rating Group or Xxxxx’x Investors Service Inc., as applicable (but not to maintain any a specific rating) a corporate family and/or corporate credit rating, as applicable, and ratings in respect of the Term Loans provided pursuant to this Agreement, in each case, from each of S&P and Xxxxx’x).

Maintenance of Ratings. The Borrower will use commercially reasonable efforts to obtain and maintain (but not maintain any specific rating) a corporate family and/or corporate credit rating, as applicable, and ratings in respect rating of the Term Loans provided pursuant to this Agreement, in each case, from Facilities by each of S&P and Xxxxx’xXxxxx’x after such ratings are obtained (but not to obtain or maintain a specific rating).

The Borrower will shall use commercially reasonable efforts to obtain maintain public corporate credit facility and maintain (but not maintain any specific rating) a public corporate family and/or corporate credit rating, as applicable, and ratings in respect of the Term Loans provided pursuant to this Agreement, in each case, Holdings from each of S&P and Xxxxx’x; provided that in no event shall the Borrower be required to maintain any specific rating with any such agency.

The Borrower will use commercially reasonable efforts to obtain and maintain (but not maintain any specific rating) a corporate family and/or corporate credit rating, as applicable, rating and ratings in respect of the Term Loans provided pursuant to this Agreement, in each case, from each of S&P and Xxxxx’x.

The Borrower will use commercially reasonable efforts to obtain and maintain (but not maintain any specific rating) a public corporate family and/or corporate credit rating, as applicable, and public ratings in respect of the Term Loans provided pursuant to this Agreement, in each case, from each at least two of S&P the following: S&P, Xxxxx’x and Xxxxx’x.Xxxxx Ratings, Inc.

Maintenance of Ratings. The Borrower will shall use commercially reasonable efforts (a) to obtain obtain, to the extent not obtained prior to the Closing Date, ratings issued by Xxxxx’x and S&P with respect to the senior secured debt Facility and (b) to maintain (but not maintain any specific rating) a corporate family and/or corporate credit rating, as applicable, and such ratings in respect of the Term Loans provided pursuant to this Agreement, in each case, from with each of Xxxxx’x and S&P (including meeting with Xxxxx’x and Xxxxx’xS&P as required and paying any commercially reasonable fees as required by such rating agencies to maintain such ratings).

Maintenance of Ratings. The Borrower will use Use commercially reasonable efforts to obtain maintain at all times a credit rating by each of S&P and maintain (but not maintain any specific rating) a corporate family and/or corporate credit rating, as applicable, and ratings Xxxxx’x in respect of the Initial Term Loans provided pursuant to this Agreementand a corporate rating by S&P and a corporate family rating by Xxxxx’x for the Borrower, in each case, from each of S&P and Xxxxx’xwith no requirement to maintain any specific minimum rating.

Maintenance of Ratings. The Borrower will shall use commercially reasonable efforts to obtain and maintain (but not maintain any specific rating) a public corporate family and/or from Xxxxx’x and a public corporate credit rating, as applicable, rating from S&P and ratings in respect of the Term Loans provided pursuant to this Agreement, in each case, Agreement from each of S&P Xxxxx’x and Xxxxx’x.S&P.

Maintenance of Ratings. The Borrower will shall use commercially reasonable efforts to obtain maintain public corporate credit and maintain (but not maintain any specific rating) a public corporate family and/or corporate credit rating, as applicable, ratings with respect to the Borrower and ratings in respect a public rating of the Term Loans provided pursuant to this Agreement, in each case, Credit Facilities from each of S&P and Xxxxx’x; provided that in no event shall the Borrower be required to maintain any specific rating with any such agency.

Maintenance of Ratings. The Borrower will use Use commercially reasonable efforts to obtain cause (a) each of S&P and Xxxxx’x to maintain a rating for the Term B Loans, (but not b) Xxxxx’x to maintain any specific rating) a corporate family and/or rating (or the equivalent thereof), and (c) S&P to maintain a corporate credit ratingrating (or the equivalent thereof), as applicablein each case with respect to the Borrower, and ratings in respect of the Term Loans provided pursuant to this Agreementit being understood, in each case, from each of S&P and Xxxxx’xthat such obligation shall not require the Borrower to maintain any specific rating.

The Borrower Borrowers will use commercially reasonable efforts to obtain maintain private corporate credit facility ratings for the Term Facility and maintain (but not maintain any specific rating) a private corporate family and/or corporate credit rating, as applicable, and ratings in respect of for the Term Loans provided pursuant to this Agreement, in each case, Borrowers from each of S&P and Xxxxx’x; provided, that in no event shall any Borrower be required to maintain any specific rating with any such agency.

The Borrower will use commercially reasonable efforts to obtain and maintain (but not maintain any specific rating) a public corporate family and/or corporate credit rating, as applicable, and public ratings in respect of the Initial Term Loans provided pursuant to this Agreement, in each case, from each of S&P and Xxxxx’x.

The Borrower will shall use commercially reasonable efforts to obtain and maintain (i) a public corporate credit rating (but not maintain any specific particular rating) from S&P and a public corporate family and/or corporate credit rating (but not any particular rating) from Moody’s, as applicablein each case in respect of the Lead Borrower, and ratings (ii) a public rating (but not any particular rating) in respect of the Term Loans provided pursuant to made available under this Agreement, in each case, Agreement from each of S&P and Xxxxx’xMoody’s.

The Borrower will use commercially reasonable efforts to obtain maintain a corporate credit rating from S&P and maintain (but not maintain any specific rating) a corporate family and/or corporate credit ratingrating from Xxxxx’x, as applicablein each case with respect to the Borrower, and ratings in respect a rating of the Term Loans provided pursuant and (prior to this Agreement, in each case, from the Revolving Maturity Date) the Revolving Facility by each of S&P and Xxxxx’x.

The Borrower will shall use commercially reasonable efforts to obtain and maintain (i) a public corporate family rating (but not maintain any specific rating) issued by Xxxxx’x and a corporate family and/or public corporate credit rating (but not any specific rating, as applicable, ) issued by S&P and ratings in respect of the Term Loans provided pursuant to this Agreement, in each case, (ii) a public credit rating (but not any specific rating) from each of Xxxxx’x and S&P and Xxxxx’xwith respect to the Term Loans.

Maintenance of Ratings. The Borrower will use Use commercially reasonable efforts to obtain cause (1) each of S&P and Xxxxx’x to maintain a rating for the Term B Loans, (but not 1) Xxxxx’x to maintain any specific rating) a corporate family and/or rating (or the equivalent thereof), and (1) S&P to maintain a corporate credit ratingrating (or the equivalent thereof), as applicablein each case with respect to the Borrower, and ratings in respect of the Term Loans provided pursuant to this Agreementit being understood, in each case, from each of S&P and Xxxxx’xthat such obligation shall not require the Borrower to maintain any specific rating.

Maintenance of Ratings. The Borrower will use commercially reasonable efforts to obtain and to maintain (but not maintain any specific rating) a corporate family and/or public corporate credit rating, as applicable, and facility ratings in respect of the Initial Term Loans provided pursuant to this Agreementand corporate family ratings in respect of the Borrower, in each case, from each of S&P Xxxxx’x and Xxxxx’x.-159- #96501157v12

Maintenance of Ratings. The Borrower will use commercially reasonable efforts to obtain and maintain (but not maintain any specific rating) a public corporate family and/or corporate credit rating, as applicable, from at least two of S&P, Xxxxx’x and ratings in respect Fitch, and a public rating of the Term Loans provided pursuant to this Agreementby at least two of S&P, in each case, from each of S&P Xxxxx’x and Xxxxx’xFitch.

Maintenance of Ratings. The Borrower will use commercially reasonable efforts to obtain and maintain (but not maintain any specific rating) a corporate family and/or or corporate credit rating, as applicable, and public ratings in respect of the Initial Term Loans provided pursuant to this AgreementLoans, in each case, from each of S&P and Xxxxx’x.

The Borrower will use commercially reasonable efforts to obtain and maintain (but not maintain any specific rating) a corporate family and/or corporate credit ratingrating in respect of the Borrower, as applicable, and ratings in respect of the Term Loans provided pursuant to this AgreementCredit Facility, in each case, from each Xxxxx’x and at least one of S&P and Xxxxx’xFitch.

The Unless otherwise consented to by Agents or Requisite Lenders, at all times, Borrower will shall use commercially reasonable efforts to obtain and maintain (but not maintain any specific ratingi) a corporate family and/or corporate credit rating, as applicable, ratings and (ii) ratings in with respect of the Term Loans provided pursuant to this Agreementits senior secured debt, in each case, from each of S&P case issued by Moody’s and Xxxxx’x.S&P.

Maintenance of Ratings. The Borrower will use commercially reasonable efforts to obtain and maintain ratings (but not maintain any specific ratingparticular level of ratings) a corporate family and/or corporate credit rating, as applicable, and ratings in respect of the Term Loans Credit Facilities provided pursuant to this Agreement, in each case, from each of S&P and Xxxxx’x.

Maintenance of Ratings. The Borrower will shall use commercially reasonable efforts to obtain maintain public corporate facility ratings for the Initial Term Loans and maintain (but not maintain any specific rating) a public corporate ratings or corporate family and/or corporate credit ratingratings, as applicable, and ratings in respect of for the Term Loans provided pursuant to this Agreement, in each case, Borrower from each of S&P and Xxxxx’x; provided that in no event shall the Borrower be required to maintain any specific rating with any such agency.

Maintenance of Ratings. The Borrower will use commercially reasonable efforts to obtain and maintain (but not maintain any specific rating) a corporate family and/or corporate credit ratingrating in respect of the Borrower, as applicable, and ratings in respect of the Term Loans provided pursuant to this AgreementCredit Facility, in each case, from each Xxxxx’x and at least one of S&P and Xxxxx’xFitch .

Maintenance of Ratings. The Borrower will use commercially reasonable efforts to obtain maintain continuously in effect a corporate rating from S&P and maintain (but not maintain any specific rating) a corporate family and/or corporate credit ratingrating from Mxxxx’x, as applicable, and ratings in each case in respect of the Term Loans provided pursuant to this AgreementBorrower, in each case, from and a rating of the credit facilities created hereunder by each of S&P and Xxxxx’xMxxxx’x, it being understood that there is no obligation to maintain any particular rating at any time.

Maintenance of Ratings. The Borrower will use commercially reasonable efforts to obtain and maintain (but not maintain any specific rating) (a) a public corporate family and/or corporate credit rating, as applicable, and ratings debt rating in respect of the Borrower, and (b) for so long as any Initial Term B Loans provided pursuant to this Agreementare outstanding, a public debt rating in each case, from each respect of S&P and Xxxxx’xthe Initial Term B Loans.

The Borrower will shall use commercially reasonable efforts to obtain maintain public corporate credit and maintain (but not maintain any specific rating) a public corporate family and/or corporate credit rating, as applicable, ratings and public ratings in with respect of to the Initial Term Loans provided pursuant to this Agreement, in each case, from each of S&P and Xxxxx’x; provided that in no event shall the Borrower be required to maintain any specific rating with any such agency.

Maintenance of Ratings. The Borrower will shall use commercially reasonable efforts (a) to obtain and maintain (but obtain, to the extent not maintain any specific rating) a obtained prior to the Closing Date, corporate family and/or corporate credit ratingand facility ratings issued by Xxxxx’x and S&P with respect to the Borrower and its Subsidiaries, as applicable, the Loans and the Senior Notes and (b) to maintain such ratings in respect of the Term Loans provided pursuant to this Agreement, in each case, from with each of Xxxxx’x and S&P (including meeting with Xxxxx’x and Xxxxx’xS&P as required and paying any commercially reasonable fees as required by such rating agencies to maintain such ratings).

Maintenance of Ratings. The Borrower will use commercially reasonable efforts to obtain and maintain (but not maintain any specific rating) (a) a public corporate family and/or corporate credit rating, as applicable, and ratings debt rating in respect of the Borrower, and (b) for so long as any Initial Term Loans provided pursuant to this Agreementare outstanding, a public debt rating in respect of the Initial Term Loans, in each case, case under clauses (a) and (b) from each of S&P and Xxxxx’xMxxxx’x.

Maintenance of Ratings. The Borrower will use commercially reasonable efforts to obtain maintain at all times a corporate credit rating from S&P and maintain (but not maintain any specific rating) a corporate family and/or corporate credit rating, as applicable, and ratings in respect of the Term Loans provided pursuant to this Agreementrating from Xxxxx'x, in each case, from each of S&P and Xxxxx’xcase with respect to the Borrower.

Maintenance of Ratings. The Borrower will use commercially reasonable efforts to obtain and maintain (but not maintain any specific rating) a public corporate family and/or corporate credit rating, as applicable, rating and ratings in a rating with respect of to the Term Loans provided pursuant to this Agreementborrowed on the Closing Date, in each case, from issued by each of S&P and Xxxxx’xXxxxx’x to each be maintained (but, in each case, not to obtain or maintain a specific rating).

Maintenance of Ratings. The Borrower Company will use commercially reasonable efforts to obtain and to maintain (but not maintain any specific rating) a corporate family and/or public corporate credit rating, as applicable, and facility ratings in respect of the Initial Term Loans provided pursuant to this Agreementand corporate family ratings in respect of the Company, in each case, from Xxxxx’x and S&P; provided, however, in each of S&P and Xxxxx’xcase, that the Borrower shall not be required to obtain or maintain any specific rating. . The Initial Borrower will shall use commercially reasonable efforts to obtain maintain public corporate credit and maintain (but not maintain any specific rating) a public corporate family and/or corporate credit rating, as applicable, ratings and public ratings in with respect of to the Initial Term Loans provided pursuant to this Agreement, in each case, from each of S&P and Xxxxx’x; provided that in no event shall the Borrowers be required to maintain any specific rating with any such agency.

Maintenance of Ratings. The Borrower will use commercially reasonable efforts to obtain maintain continuously in effect a corporate rating (with no specific minimum) from S&P and maintain (but not maintain any specific rating) a corporate family and/or corporate credit ratingrating (with no specific minimum) from Xxxxx'x, as applicable, and ratings in each case in respect of the Term Loans provided pursuant to this AgreementBorrower, in each case, from and a rating (with no specific minimum) of the credit facilities hereunder by each of S&P and Xxxxx’xXxxxx'x.

The Unless otherwise consented to by Agents or Requisite Lenders, at all times, Borrower will shall use commercially reasonable efforts to obtain and maintain (but not maintain any specific ratingi) a public corporate family and/or rating issued by Xxxxx’x and a public corporate credit rating, as applicable, rating issued by S&P and ratings in respect of the Term Loans provided pursuant to this Agreement, in each case, (ii) a public credit rating from each of Xxxxx’x and S&P and Xxxxx’xwith respect to the Term Loans; provided that no specific ratings need to be maintained.

Maintenance of Ratings. The Borrower will use commercially reasonable efforts to obtain and maintain (but not maintain any specific rating) a public corporate family and/or corporate credit rating, as applicable, and public ratings in respect of the Term Loans provided pursuant to this Agreement, in each case, from each eachat least two of the following: S&P and, Xxxxx’x and Xxxxx’x.Xxxxx Ratings, Inc.

Maintenance of Ratings. The Unless otherwise consented to by Administrative Agent or Requisite Lenders, at all times, Borrower will shall use commercially reasonable efforts to obtain and maintain (but not maintain any specific rating) a corporate family and/or corporate credit rating, as applicable, and facility ratings in issued by Mxxxx’x and S&P with respect of the Term Loans provided pursuant to its senior secured debt with respect to this Agreement, in each case, from each of S&P and Xxxxx’x.

Maintenance of Ratings. The Borrower will shall use commercially reasonable efforts to obtain and maintain (but not maintain any specific ratinga) public corporate ratings and public corporate family ratings of the Borrower and (b) a corporate family and/or corporate credit rating, as applicable, and ratings in respect rating of each of the Term Loans provided pursuant to this AgreementFacility and the Delayed Draw Term Facility, in each case, from each of S&P and Xxxxx’x; provided, that in no event shall the Borrower be required to maintain any specific rating with any such agency.

Maintenance of Ratings. The Borrower will use commercially reasonable efforts to obtain and maintain (i) a public corporate credit rating (but not maintain any specific rating) from S&P and a public corporate family and/or corporate credit rating (but not any specific rating) from Moody’s, as applicable, and ratings in each case in respect of the Borrower, and (ii) a public rating (but not any specific rating) in respect of each of the Term Loans provided pursuant to this AgreementB Facilitiesy and the 2022 Incremental Term Loans, in each case, from each of S&P and Xxxxx’xMoody’s.

Maintenance of Ratings. The Each Borrower will shall use commercially reasonable efforts to obtain maintain public corporate credit and maintain (but not public corporate family ratings with respect to the Parent and a public rating of each Term Facility from two of each of Fitch, S&P and Xxxxx’x; provided that in no event shall any Borrower be required to maintain any specific rating) a corporate family and/or corporate credit rating, as applicable, and ratings in respect of the Term Loans provided pursuant to this Agreement, in each case, from each of S&P and Xxxxx’xrating with any such agency.

Maintenance of Ratings. The Borrower will use its commercially reasonable efforts to obtain maintain in effect ratings for the credit facilities provided under this Agreement and maintain (but not maintain any specific rating) the Senior Notes from each of S&P and Xxxxx’x and a public corporate credit rating and a public corporate family and/or corporate credit rating, as applicable, and ratings rating in respect of each of the Term Loans provided pursuant Borrower after giving effect to this Agreement, in each case, the Transactions from each of S&P and Xxxxx’x, respectively, but, for the avoidance of doubt, shall not be required to maintain a specific rating or ratings above certain levels.

Maintenance of Ratings. The Borrower will use commercially reasonable efforts to obtain and maintain (but not maintain any specific rating) a public corporate family and/or corporate credit rating, as applicable, and public ratings in respect of the Initial Term Loans provided pursuant to this AgreementLoans, in each case, from each at least two of S&P the following: S&P, Xxxxx’x and Xxxxx’xFitch.
