Common use of Maintenance of Governmental Approvals Clause in Contracts

Maintenance of Governmental Approvals. The Standby Purchaser will, and will cause its Subsidiaries to, duly obtain and maintain in full force and effect all approvals of Governmental Authorities and third parties, consents or licenses which are necessary under the laws of Brazil, the Cayman Islands or any other jurisdiction having jurisdiction over the Standby Purchaser and each Subsidiary thereof in connection with the execution, delivery and performance of this Agreement and each other Transaction Document by the Standby Purchaser or the validity or enforceability of any thereof.

Maintenance of Governmental Approvals. The Standby Purchaser will, and will cause its Subsidiaries to, duly obtain and maintain in full force and effect all approvals of Governmental Authorities and third third-parties, consents or licenses which are necessary under the laws of Brazil, the Cayman Islands or any other jurisdiction having jurisdiction over the Standby Purchaser and each Subsidiary thereof in connection with the execution, delivery and performance of this Agreement and each other Transaction Document by the Standby Purchaser or the validity or enforceability of any thereof.
