Main Studio Sample Clauses

The "Main Studio" clause defines the primary location where the core activities or operations under the agreement will take place. Typically, this clause specifies the address or identity of the main studio, which may be relevant for determining where services are rendered, where equipment is stored, or where personnel are based. By clearly designating the main studio, the clause helps avoid confusion about the central site of operations and ensures all parties understand the logistical and legal implications tied to that location.
Main Studio. During the Term, Licensee shall (i) maintain and staff a main studio, as that term is defined by the FCC, at a location that complies with FCC rules for the location of a main studio within such area, (ii) maintain a local public inspection file within California, Missouri, and (iii) prepare and place in such inspection file in a timely manner all material required by Section 73.3526 of the FCC's rules, including without limitation the Station's quarterly issues/program lists. Programmer shall provide Licensee with timely information concerning Programmer's programs as is necessary to assist Licensee in the preparation of such lists.
Main Studio. Licensor shall maintain and staff the main studio for the Station as required under the Communications Laws. 2.7

Main Studio. Licensee warrants and represents that it will maintain its main studios in compliance with the rules, regulations and decisions of the FCC.
Main Studio. Licensee shall maintain a main studio, as that term is defined by the rules and regulations of the FCC, within the principal community contour of the Stations as required by the rules and regulations of the FCC. The Licensee shall be responsible for the payment of salaries, taxes, insurance and related costs of Station personnel, including managerial staff, at the main studios, subject to any reimbursement by Broker as provided herein.

For the sake of clarity, all Licensee equipment and assets located at the Main Studio shall be and remain the property of Licensee at all times during the Term. In the event of termination of this Agreement as provided herein, other than due to the closing of the purchase of the Station under the Purchase Agreement, Programmer shall allow Licensee at least 60-days to move the Station’s main studio to a new location and to remove Licensee’s equipment from the Main Studio leased from Programmer.

Main Studio. In cooperation with Programmer, during the Term Licensee shall (i) maintain and staff a main studio, as that term is defined by the FCC, which Licensee may locate within facilities that Programmer shall provide within the Station's principal community contour, or at such other location that complies with FCC rules for the location of a main studio within such area, (ii) maintain a local public inspection file within Loveland, Colorado, and (iii) prepare and place in such inspection file in a timely manner all material required by Section 73.3526 of the FCC's rules, including without limitation the Station's quarterly issues/program lists. Programmer shall provide Licensee with timely information concerning Programmer's programs as is necessary to assist Licensee in the preparation of such lists.

  • Joint Commercialization Committee Upon a decision by the JSC to activate the joint Commercialization committee, but in no case later than eighteen (18) months prior to the projected First Commercial Sale (the “Joint Commercialization Committee” or “JCC”), the Parties shall establish the JCC. The JCC shall hold its initial meeting within thirty (30) days of its establishment. Following its initial meeting, the JCC will meet in person, by teleconference or by video-teleconference at least [***] per [***] to review and discuss material decisions and key activities that relate to the matters set forth below. Without limiting the foregoing, the JCC shall be responsible for: (a) reviewing and consulting with Coherus on the Commercialization Plan prior to adoption of the Commercialization Plan or changes by Licensee; (b) recommending the Commercialization Plan for approval by the JSC prior to adoption of the Commercialization Plan; (c) communicating with the JDC regarding the interrelationship between Development activities and potential Commercialization activities; (d) reviewing and monitoring the activities and progress against the Commercialization Plan; (e) monitoring and reporting on the competitive landscape for the Product in the Territory; (f) establishing appropriate processes for coordinating review of promotional materials for the Territory to ensure compliance with Applicable Laws and industry best practices; (g) overseeing the trademark and publication strategies for the Territory; and (h) communicating with the Parties regarding all of the foregoing.

  • Joint Research Committee The Parties hereby establish a committee to facilitate the Research Program as follows:

  • COVID-19 Vaccine Passports Pursuant to Texas Health and Safety Code, Section 161.0085(c), Contractor certifies that it does not require its customers to provide any documentation certifying the customer’s COVID-19 vaccination or post-transmission recovery on entry to, to gain access to, or to receive service from the Contractor’s business. Contractor acknowledges that such a vaccine or recovery requirement would make Contractor ineligible for a state-funded contract.
