MAE. Either: (a) in the opinion of the Bridge Lender, an MAE shall have occurred and be continuing; or (b) an event shall occur or circumstance shall be continuing which, in the opinion of the Bridge Lender and with the giving of notice, lapse of time and/or making of any determination of materiality, would constitute an MAE.
