LRRK2 Program Sample Clauses

LRRK2 Program. Denali and Biogen will collaborate with respect to Denali’s LRRK2 program as described below (“LRRK2 Program”) in accordance with the applicable terms set forth in this Provisional Collaboration and License Agreement and the Definitive LRRK2 Collaboration and License Agreement. With respect to such LRRK2 Program: 1.2.1 Denali and Biogen will share the responsibility for, and will jointly Develop, the LRRK2 Licensed Compounds and the LRRK2 Licensed Products in the Territory and share costs and expenses at a ratio of 1.5:1 (Biogen 60% / Denali 40%), in accordance with an agreed plan and budget for all such Development and as further described below; 1.2.2 Denali and Biogen will jointly ▇▇▇▇▇▇▇▇▇▇▇▇▇ ▇▇▇▇▇ Licensed Products in the U.S. and China and will share in the profits/losses with respect to the Commercialization of LRRK2 Licensed Products in the U.S. and China, in accordance with an agreed plan and budget for such Commercialization in the Co-Commercialization Territory and as further described below; and 1.2.3 Biogen will [***] with respect to the Commercialization of LRRK2 Licensed Products in all other jurisdictions worldwide, at its cost and expense, subject to payments to Denali as further described below.
