LPC. 1. The LPC group shall provide the complete design for the integration of the electron detector sub-system into the ▇▇▇▇▇▇▇ Polarimeter.

LPC. The Purchaser agrees to give the Seller notice of any and all claims asserted against the Purchaser for which indemnification under this Clause 6 is or may be sought. Such notice shall be given as soon as reasonably practicable after the Purchaser becomes aware that it has or may have a claim against the Seller. Under this Clause 6, failure to give such notice shall not abrogate or diminish the Seller's obligation under this Clause if the Seller has or receives knowledge of the existence of any such claim by any other means or if such failure does not prejudice the Seller's ability to defend such a claim.

LPC is a corporation duly organized, validly existing and in good standing under the laws of the State of Delaware, and has all requisite corporate authority to carry on the business as it is now carried on and conducted and to operate and own or lease the assets, properties and business now owned or leased and operated by it.
