Local Transfer Agreements. (a) Section 6.11(b) of the Agreement shall be amended by replacing the period after the phrase “Asset Selling Subsidiaries” in the sixth line with the word “and”. (b) Section 6.11(b) of the Agreement shall be further amended by adding the following sentence to the end of such section: “To the extent there are any inconsistencies between terms and conditions of the Agreement and the terms and conditions of a Local Transfer Agreement, the terms and conditions of the Agreement shall prevail.”
