LOCAL ISSUES. Lender shall be satisfied with Mexican laws governing all matters relating to the Inventory Loan, including without limitation, the creation and perfection of security on real estate, the creation and perfection of the assignment of purchaser contracts, the creation, marketing and sale of unsold use rights and memberships, and other related matters.
