Common use of Loan Accounts of Administrative Agent; Lender Register Clause in Contracts

Loan Accounts of Administrative Agent; Lender Register. The Administrative Agent shall maintain accounts in which it shall record: (i) the amount of each Loan and Borrowing made hereunder, the Type thereof, the Interest Period and applicable interest rate and, in the case of a Swing Loan, the Swing Loan Maturity Date applicable thereto; (ii) the amount and other details with respect to each Letter of Credit issued hereunder; (iii) the amount of any principal due and payable or to become due and payable from the Borrower to each Lender hereunder; (iv) the amount of any sum received by the Administrative Agent hereunder for the account of the Lenders and each Lender’s share thereof; and (v) the other details relating to the Loans, Letters of Credit and other Obligations. In addition, the Administrative Agent shall maintain at one of its offices a copy of each Assignment Agreement delivered to it and a register (the “Lender Register”) for the recordation of the names and addresses of the Lenders, and the Commitments of, and principal, premium, interest and fees amounts of the Loans owing to, each Lender pursuant to the terms hereof from time to time. The Administrative Agent will make the Lender Register available to any Lender (solely with respect to its own Loans or Commitments) or the Borrower upon its reasonable request. The entries in the Lender Register shall be conclusive, absent manifest error, and the Borrower, the Administrative Agent, and each Lender shall treat each Person whose name is recorded in the Lender Register pursuant to the terms hereof as a Lender hereunder for all purposes of this Agreement, absent manifest error or actual notice to the contrary.

The Administrative Agent will make the Lender Register available to any Lender (solely with respect to its own Loans or Commitments) or the Parent Borrower upon its reasonable request. The entries in the Lender Register shall be conclusive, absent manifest error, and the Parent Borrower, the Administrative Agent, and each Lender shall treat each Person whose name is recorded in the Lender Register pursuant to the terms hereof as a Lender hereunder for all purposes of this Agreement, absent manifest error or actual notice to the contrary.

The Administrative Agent will make the Lender Register available to any Lender (solely with respect to its own Loans or Commitments) or the Borrower upon its reasonable request. The entries in the Lender Register shall be conclusive, conclusive absent manifest error, and the Borrower, the Administrative Agent, and each Lender the Lenders shall treat each Person whose name is recorded in the Lender Register pursuant to the terms hereof as a Lender hereunder for all purposes of this Agreement, absent manifest error or actual notice . The Lender Register shall be available for inspection by the Borrower and any Lender at any reasonable time and from time to the contrarytime upon reasonable prior written notice.

The Administrative Agent shall maintain accounts in which it shall record: (i) the amount of each Loan and Borrowing made hereunder, the Type thereof, the currency in which such Loan is denominated, the Interest Period and applicable interest rate and, in the case of a Swing Loan, the Swing Loan Maturity Date applicable thereto; (ii) the amount and other details with respect to each Letter of Credit issued hereunder; (iii) the amount of any principal due and payable or to become due and payable from the Borrower to each Lender hereunder; (iv) the amount of any sum received by the Administrative Agent hereunder for the account of the Lenders and each Lender’s share thereof; and (v) the other details relating to the Loans, Letters of Credit and other Obligations. In addition, the Administrative Agent Agent, acting solely for this purpose as an agent of the Borrower, shall maintain at one of its offices a copy of each Assignment Agreement delivered to it and a register (the “Lender Register”) for the recordation of on or in which it will record the names and addresses of the Lenders, and the Commitments of, and principal, premium, interest principal amounts (and fees amounts stated interest) of the Loans owing to, each Lender Lender, pursuant to the terms hereof from time to time. The Administrative Agent will make the Lender Register available to any Lender (solely with respect to its own Loans or Commitments) or the Borrower upon its reasonable request. The entries in the Lender Register shall be conclusive, conclusive absent manifest error, and the Borrower, the Administrative Agent, Agent and each Lender the Lenders shall treat each Person whose name is recorded in the Lender Register pursuant to the terms hereof as a Lender hereunder for all purposes of this Agreement, absent manifest error . The Administrative Agent will make the Lender Register available to any Lender or actual notice the Borrower at any reasonable time and from time to the contrarytime upon reasonable prior notice.

The Administrative Agent will make Notwithstanding anything in this Agreement to the Lender Register available to any Lender (solely with respect to its own Loans or Commitments) or the Borrower upon its reasonable request. The entries in the Lender Register shall be conclusivecontrary, absent manifest error, and the Borrower, the Administrative Agent, and each Lender shall treat each Person whose name is recorded in the Lender Register pursuant to the terms hereof shall be treated as a Lender hereunder or LC Issuer, as applicable, for all purposes of this Agreement, absent manifest error hereunder. The Administrative Agent will make the Lender Register available to any Lender or actual notice to the contraryBorrower upon its request.
