LLC Capitalization Clause Samples

LLC Capitalization. The authorized equity interests of OMT, LLC consists of three classes of units representing interests OMT, LLC: Common Units, Series A Preferred Units, and Series B Preferred Units. As of the date hereof: (i) 4,711,959 Common Units were issued and outstanding, (ii) 200,000 Series A Preferred Units were issued and outstanding, and (iii) 4,362,599 Series B Preferred Units were issued and outstanding. As of the date hereof, the Company has reserved no Common Units for issuance upon exercise of certain rights held by holders of Common Units to acquire additional Common Units. No Common Units, Series A Preferred Units or Series B Preferred Units are held by OMT, LLC. All of the outstanding units of OMT, LLC are, and all Common Units which may be issued as contemplated or permitted by this Agreement will be, when issued, duly authorized and validly issued, fully paid and nonassessable and not subject to any preemptive rights. There are no accrued or unpaid dividends with respect to any issued and outstanding units of OMT, LLC.
