Litigation; Governmental Orders. There is no Action or claim pending or, to the knowledge of Purchaser, threatened, or, to the knowledge of Purchaser, governmental investigation threatened or pending by, against or involving Purchaser, that would prevent Purchaser from consummating the transactions contemplated hereby, or to otherwise perform Purchaser’s obligations under this Agreement or any Ancillary Agreement to which Purchaser is or will be a party, in any material respect.
