There is no action, suit, investigation, or proceeding before or by any court, governmental authority, or arbitrator pending, or to the knowledge of Borrower, threatened against or affecting Borrower, Guarantor or any Subsidiary, that would, if adversely determined, have a Material Adverse Effect. There are no outstanding judgments against Borrower, Guarantor or any Subsidiary.

There is no action, suit, investigation, or proceeding before or by any courtGovernmental Authority (including without limitation, governmental authority, the DOE) or arbitrator pending, or to the knowledge of either Borrower, threatened against or affecting Borrower, Guarantor either Borrower or any Subsidiary, that wouldSubsidiary which, if adversely determined, could have a Material Adverse Effect. There are no outstanding unstayed or undischarged judgments against Borrower, Guarantor either Borrower or any SubsidiarySubsidiary which would constitute an Event of Default under SECTION 10.1(h).
