Common use of Litigation and Government Claims Clause in Contracts

Litigation and Government Claims. Except as set forth in Schedule 3.8, there is no action, suit, claim, proceeding or arbitration, and to the knowledge of the Principals or Sellers, there is no investigation or inquiry, whether civil, criminal or administrative (“Litigation”) pending or, to the knowledge of the Principals or Sellers, threatened against any Seller or the LLC, or to which any of their business or assets is subject, nor does any Principal or Seller know, or have grounds to know, of any basis for any unasserted Litigation of any nature that might be asserted against any Seller or the LLC. Except as set forth in Schedule 3.8, none of the Sellers or the LLC nor their respective business or assets is subject to any Order of any Governmental Entity that would have a material adverse effect on any Seller or the LLC.
