Common use of Litigation Affecting Closing Clause in Contracts

Litigation Affecting Closing. No court order shall have been issued or entered which would be violated by the completion of the transaction contemplated herein. No person who or which is not a party to this Agreement shall have commenced or threatened to commence any litigation seeking to restrain or prohibit, or to obtain substantial damages in connection with this Agreement or the transactions contemplated by this Agreement.
