Common use of Litigation; Adverse Effects Clause in Contracts

Litigation; Adverse Effects. (i) There is no action, suit, proceeding, governmental investigation or arbitration, at law or in equity, or before or by any Governmental Authority, pending, or to the best of Borrower's knowledge, threatened against Borrower or any of its Subsidiaries or any of their respective Properties, in which there is a reasonable possibility of an adverse decision that could have a Material Adverse Effect; and

(i) There is no action, suit, proceeding, governmental investigation or arbitration, at law or in equity, or before or by any Governmental Authority, pending, or to the best of Borrower's knowledge, threatened against Borrower or any of its Subsidiaries or any of their respective Properties, in which there is a reasonable possibility of an adverse decision that could have a Material Adverse Effect; and;

(ia) There is are no actionactions, suitsuits, proceedingproceedings, governmental investigation investigations or arbitrationarbitrations, at law or in equity, or before or by any Governmental Authority, pendingpending or, or to the best knowledge of the Borrower's knowledge, threatened probable of assertion against the Borrower or any Subsidiary of its Subsidiaries the Borrower or any property of their respective Propertiesthe Borrower or any Subsidiary of the Borrower, which if adversely determined, is likely to result in which there is a reasonable possibility of an adverse decision that material judgment or liability not fully covered by insurance and/or could have reasonably be expected to result in a Material Adverse Effect; and.
