Linking Agreement. During the Term of this Agreement, Sponsor shall be permitted to maintain an Internet hyperlink on the Sponsors page of the Event(s) website(s) to the home page of Sponsor’s Web site on the Internet, as identified above, pursuant to the terms and conditions of this Section V. AEG agrees to incorporate the exact, unaltered, graphical file image to be electronically provided by Sponsor (“Sponsor’s Link Logo”) into the HTML files located on the Sponsors page(s) of AEG Web site(s). The specific placement (on the Sponsors page of the AEG Events(s) Web site(s)), appearance and operation of the link shall be consistent with the terms and conditions of this Agreement and shall be mutually agreed upon by AEG and Sponsor; provided, however, that (i) the appearance of Sponsor’s Link Logo may not be altered in any manner from what is electronically provided by Sponsor, (ii) Sponsor’s Link Logo may not be reduced in size beyond what is electronically provided by Sponsor, (iii) Sponsor’s Link Logo shall not be displayed on AEG Web site more prominently than AEG name or logo, or than AEG’s Web site name or logo, (iv) Sponsor’s Link Logo must stand by itself and must include a minimum amount of 30 pixels of empty space around it so as to avoid unintended associations with any other objects, including but not limited to type, photography, borders, and edges, (v) Sponsor reserves the right to alter or modify Sponsor’s Link Logo in any manner at any time, provided such alteration or modification is otherwise consistent with the terms and conditions of this Section V. No pages from Sponsor’s Web site may be placed in a frame on any page of AEG’s Event(s) Web site. AEG does not endorse, approve, certify, or control Sponsor’s Web site and does not warrant, guarantee or make any representations regarding the accuracy, completeness, efficacy, timeliness, merchantability, or fitness for a particular purpose of the content or data located on such site. Reference therein to any specific product, process or service does not constitute or imply endorsement, recommendation or favoring by AEG. AEG is not responsible for, and expressly disclaims all liability for, damages of any kind arising out of use, reference to, reliance on, or performance of such content or data. Sponsor reserves the right to review AEG’s use of Sponsor’s Link Logo, and AEG agrees to provide Sponsor with unrestricted access to AEG’s Web site(s) to review such use. Linking Agreement. 1.1. DISPLAY OF LINKS TO CO-BRANDED SITE: During the term of this Agreement, as hereinafter defined (the "Term"), BuildNet shall create and display a mortgage channel that will provide a hyperlink ("Unique Hyperlink") to the Co-Branded Site via text and/or graphics. A Unique Hyperlink will be placed in a prominent location within the BuildNet Sites mutually acceptable to the parties. The Unique Hyperlink will take Consumers from the BuildNet Sites to the Co-Branded Site using distinct URLs supplied by MDC exclusively for linking and tracking (the "Supplied URLs"). The Unique Hyperlink to the Co-branded Site shall be displayed in the area of the BuildNet Sites that promotes residential mortgage services and products and, if BuildNet displays or makes accessible to Consumers descriptive information regarding any of the vendors whose icons are displayed on the BuildNet Site then BuildNet shall have the right, but not the obligation, (and subject to MDC's prior written approval of the content thereof in each instance the foregoing right is to be exercised), to include similar descriptive information regarding the Co-Branded Site. PROMOTION/MARKETING BuildNet shall use commercially reasonable efforts to develop and implement promotions to stimulate transactions, electronic mail leads and otherwise to support the sales of MDC Products through the Co-Branded Site. In furtherance thereof, BuildNet shall conduct the promotional activities described in Exhibit A ( the "Marketing Plan"). Notwithstanding the previous sentence, in the event the Marketing Plan is not completed before signing this Agreement, it shall be provided to MDC for its written approval within sixty (60) days of the effective date hereof; in the event the Marketing Plan is not approved by MDC, MDC shall give BuildNet thirty (30) days written notice of its disapproval setting forth in reasonable detail the reasons for such disapproval (the "MDC Objection"). In the event the Marketing Plan is not amended by BuildNet in conformity with the MDC Objection, either party shall have the right to terminate this agreement upon thirty (30) days written notice of the date of the MDC Objection.
Linking Agreement. 1 Licensor will provide a hypertext reference link (“Link”) from the initial, top level display of or a redirection from the following Uniform Resource Locators (“URLs”): <w▇▇.▇▇▇.▇▇▇>, <w▇▇.▇▇▇.▇▇.▇▇>, <t▇▇-▇▇▇▇▇▇.▇▇▇>, <t▇▇.▇▇▇.▇▇>, <t▇▇.▇▇>, <t▇▇.▇▇▇.▇▇>, <t▇▇-▇▇▇▇▇▇.▇▇>, and <t▇▇.▇▇>, (each, a “Licensor Site”), to ** which will be maintained by Licensee exclusively for the purpose of promoting Licensed Products as follows: (a) Licensor shall provide a Link from a Licensor Site only to the extent that such site refers to Licensed Products as of the Effective Date (other than <t▇▇.▇▇>, as to which no forward commitment is made, even if it refers to Licensed Products as of the Effective Date) and only for so long as Licensor elects in its discretion to maintain such Licensor Site. If the Licensor no longer maintains a Licensor Site, but is permitted by applicable law to own and control the URL associated with the discontinued site, Licensor shall redirect traffic to that URL to the notice page (described in subsection (c) below) and then to the Product Site, (b) If Licensor displays any graphics or photographs next to Links to third party sites or to other locations within the Licensor site on the initial, top level URL display for a Licensor Site, then Licensor shall include a graphic or photograph next to the Link for to the Product Site. Licensee shall supply the graphic or photograph for the Link provided that Licensor shall have the right to reasonably approval any such graphic or photograph. (c) The Link from the Licensor Sites (that are active websites) shall first redirect users to a notice page (identified by <w▇▇.▇▇▇.▇▇.▇▇/▇▇▇▇▇▇.▇▇▇▇> and maintained and controlled by Licensor) that will notify users that they are being redirected using the following message: “You are being redirected to [Product Site].” The notice page shall redirect users to the website designated by the URL, <**> or to another site as mutually agreed by the parties (collectively, “Product Site”). The home page and each page of the Product Site that contains other legal notices shall contain the following statement: “The TDK [**] Logo is used under a trademark license from [Licensor.]” Each page of the site shall either identify Licensee or display Licensee’s standard copyright notice in Licensee’s name.
