Limitations as to Time Clause Samples

Limitations as to Time. No Parent Indemnified Party shall be entitled to make any claim with respect to a breach of any representation that survives the Closing pursuant to Section 7.1, unless (i) such Parent Indemnified Party has provided proper written notice with respect to such Parent Indemnification Claim, specifying in reasonable detail, the basis of the claim, to Seller Representative prior to the expiration of the Survival Period and (ii) such claim is made in respect of Losses (A) specified in reasonable detail and incurred prior to the expiration of the Survival Period or (B) reasonably estimated and reasonably expected to arise in connection with such Parent Indemnification Claim.
Limitations as to Time. The Sellers are not liable for a breach of the Sellers' Warranties, unless a Claim Notice (stating in reasonable detail the nature of the claim and, if practicable, the amount claimed) has been sent by the Purchaser to the Sellers: 17.2.1 in respect of claims involving or relating to Articles 3.4 before the date of the expiry of the period determined by the relevant statute of limitations under Applicable Law; 17.2.2 in respect of claims involving or relating to Articles 3.9 before the date being five (5) years and two (2) months after the Closing Date; 17.2.3 in respect of claims involving or relating to in Article 3.15.3 before the date being five (5) after the Closing Date; or 17.2.4 in respect of any other Sellers' Warranties before the date which is one (1) year after the Closing Date.
