Limitation on Section 7 Clause Samples

Limitation on Section 7. 01. The provisions of section 7.01 shall not apply to any Development meeting the following conditions: (a) such Development was developed entirely on Executive's own time; and (b) such Development was made without the use of any Company equipment, supplies, facility or trade secret information, excluding Executives laptop; and (c) such Development does not relate (I) directly to the Business of the Company, or (ii) to the Company's actual or demonstrably anticipated research or development; and (d) such Development does not result from any work performed by Executive for the Company.
