Lifetime Access. (a) Immediately after the Closing Date, the Purchaser shall cause the Corporation to grant the individuals listed in Schedule 5.9(1)(a) with (i) free lifetime access to the Corporation’s ski, golf and tennis facilities, and such other winter and summer attractions and facilities as may be offered by the Corporation from time to time, and (ii) such discounts as may be made available by the Corporation to its senior executives from time to time, which discounts shall relate only to the Corporation and may include, without limitation, lodging, retail purchases, restaurants, lessons and child care. For the avoidance of doubt, nothing in this Section 5.9(1)(a) shall confer upon the individuals listed in Schedule 5.9(1)(a) any entitlement relating to any other business managed by the Purchaser or its Affiliates. (b) Immediately after the Closing Date, the Purchaser shall cause the Corporation to grant the individuals listed in Schedule 5.9(1)(b) with free lifetime access to the Corporation’s ski, golf and tennis facilities, and such other winter and summer attractions and facilities as may be offered by the Corporation from time to time. For the avoidance of doubt, nothing in this Section 5.9(1)(a) shall confer upon the individuals listed in Schedule 5.9(1)(b) any entitlement relating to any other business managed by the Purchaser or its Affiliates. (c) Upon request, the Purchaser shall provide the Vendor with a list of the privileges and discounts referred to in Section 5.9(1)(a). (d) The access and discount rights set forth in this Section 5.9(1) shall be non-transferable by the individuals set forth in the applicable Schedule. Should any of the individuals in the applicable Schedule transfer any of such access or discount rights, such rights shall be permanently revocable by the Purchaser with respect to any such individual or his or her transferee as determined by the Purchaser in its sole discretion.
Lifetime Access. Retrographic will endeavour to ensure access to all Program(s), software(s) and system(s) offered by Retrographic. Retrographic will reserve the right to cease access to any Program(s), software(s) and system(s) should Retrographic deem that the offering infringes upon the terms of services and or rights of a third party.
Lifetime Access. If any parts of your program have been advertised as granting you “Lifetime Access” to our materials, “Lifetime Access” means that as long as you are in good standing with Uncommon Consulting, you will be given Lifetime Access to all the benefits of our Programs as long as we continue to operate our business.
Lifetime Access. Where E-Learning is provided with “lifetime access”, you will be provided with access to the E-Learning, specified at the time of purchase, for an extended period of several years with no preset time limit. The term “Lifetime” and access period applies to the subject matter, must be viewed within reason, and does not mean “forever and ever”. Selected E-Learning products may occasionally be unpublished after the subject matter or technology covered has become redundant or after associated certification exams have been retired. Our marketplace model means we do not own the copyright to the content of the E-Learning; the content developers own these rights. On rare occasions, content developers may remove access to their E-Learning from our marketplace or Services, or, ITCourses may have to remove E-Learning from the platform for policy or legal reasons.

  • Representative Access (A) The state agrees that designated Union Representatives shall have access to state controlled premises where employees are employed. (B) If any area of the state’s premises is otherwise restricted to the public, permission must be requested to enter such area and such permission shall not be unreasonably denied. Access shall be during the regular working hours of the employee and only for the purpose of investigating an employee’s grievance.

  • Service Access Access to the clinical parts of our Site is restricted to Users. Users of our Site are provided with unique User IDs by the Clinic with which they are associated and must choose a password of their choice to sign on to our Site. Users must provide personal contact information, and you must ensure that your information is kept up to date at all times. User IDs and passwords constitute an electronic signature and will be used by us to authenticate access to our Site. If a User opts to sign onto ▇▇▇▇▇▇.▇▇▇, the User will be able to take advantage of the non- public sections of our Site. If a User opts not to sign onto our Site, their access to our Site will be restricted to the public sections of our Site only. If you are provided with a User ID, password or any other piece of information as part of our security procedures, you must treat such information as confidential, and you must not disclose it to any third party. We have the right to disable any User ID at any time, if in our opinion, you have failed to comply with any of the provisions of this Agreement. You may only use our Site as set out in this Agreement. Any illegal or unauthorized use of our Site shall constitute a violation of this Agreement. You do not have permission to access our Site in any way that violates this Agreement or breaches any applicable law. You agree to keep your and your Patients’ Data accurate, current and complete. You may print off or download extracts of page(s) from our Site for your use in Patient care or insertion into a Patient’s electronic health records only.

  • Employee Access Employees are entitled to read and review their personnel file and, without limiting the generality of the foregoing, shall be entitled to inspect their performance evaluations, written censures, letters of reprimand, and other adverse reports. Upon request, employees shall be given copies of all such pertinent documents. The Employer further agrees that no personal files or documents on employees shall be kept outside of the personnel file, apart from payroll or health services files.

  • CUSTOMER SERVICE ACCESS The Competitive Supplier agrees to provide, or cause to be provided, certain customer services to Participating Consumers. Such services shall be reasonably accessible to all Participating Consumers, shall be available during normal working hours, shall allow Participating Consumers to transact business they may have with the Competitive Supplier, and shall serve as a communications liaison among the Competitive Supplier, the Town, and the Local Distributor. A toll-free telephone number will be established by Competitive Supplier and be available for Participating Consumers to contact Competitive Supplier during normal business hours (9:00 A.M. - 5:00 P.M. Eastern Standard Time, Monday through Friday) to resolve concerns, answer questions and transact business with respect to the service received from Competitive Supplier. The Town will post program-related information on the Town’s website which will be available to Participating Consumers for general information, product and service information, and other purposes.

  • Site Access Dell requires the right to access the APEX System in a timely way and as provided in the Service Offering Description to provide the Support Services. Failure to ensure that Customer provides Dell with timely access to a Site will relieve Dell of the Support Services obligations and Dell may also, at Dell’s discretion, suspend the APEX Service.
