Results of completed UCC and tax and judgment lien searches or their equivalent for the jurisdictions of formation and chief executive office of the Borrower, the Predecessor Parent Pledgor and the Assignor dated within two (2) weeks before the Initial Closing Date that named the Borrower, the Assignor and the Predecessor Parent Pledgor as debtor (none of which showed any of the Collateral or the Pledged Interests subject to any Liens other than those created pursuant to the Transaction Documents (as defined in the Original Loan Agreement)).
