Lien and Overage. 19.1 The Seller warrants that: (a) pursuant to the 2001 Transfer, the Seller paid the sum of […***…] to the Borough Council of Worthing; (b) the Seller has not disposed of the Property (by way of conveyance, transfer or a lease for a term of more than fourteen years) since it acquired the Property pursuant to the 2001 Transfer and that the 2001 Overage has not been triggered; (c) it has not entered into any agreement, contract or other arrangement whatsoever relating to the 2001 Transfer which contains an obligation on the part of the Seller to pay consideration to the Borough Council of Worthing.
