Common use of Licensor Indemnity Clause in Contracts

Licensor Indemnity. (a) Licensor shall indemnify, defend, and hold Licensee harmless from and against all claims, suits, demands, actions and proceedings, judgments, penalties, damages, costs and expenses (including reasonable legal fees and costs), losses or liabilities (“Damages”) arising out of a claim that any Damages incurred by Licensee resulting from a breach by Licensor of any representation, warranty or other provision of this Agreement, and Licensor will pay the costs and damages finally awarded in any suit or proceeding.

(a) Licensor shall indemnify, defendindemnify Licensee and shall defend Licensee against, and hold Licensee harmless from and against from, all claims, liabilities, suits, demands, actions and proceedings, judgments, penaltieslosses, damages, costs and expenses (including reasonable legal fees and costs), losses or liabilities (“Damages”attorneys' fees) brought by a third party against Licensee arising out of a claim that or relating to any Damages incurred by Licensee resulting from a breach or alleged breach by Licensor of any representationof its duties, warranty or other provision of this Agreementobligations, representations and Licensor will pay the costs and damages finally awarded in any suit or proceedingwarranties set forth herein.
