Licensor and Licensor Sample Clauses
Licensor and Licensor s Parties shall not be liable to Licensee for, and Licensee waives all claims against such parties, injury, death, or damage to person or property sustained by Licensee or any person claiming through Licensee resulting from any condition, accident or occurrence in or upon the Space, or any other part of the Center, unless such matters arise solely from the gross negligence or willful misconduct of Licensor.
Licensor and Licensor. Personnel shall during the term of the Agreement comply with all applicable laws, regulations, regulatory requirements and codes of practice in connection with the Processing of Personal Data under the Agreement or which may otherwise apply, including without limitation privacy laws applicable in the country or countries where Personal Data is collected or held or otherwise processed and any data privacy laws enacted thereunder (together, the “Data Protection Laws”) relevant to the Hosting Services, and shall not do, cause or permit to be done, anything which may cause or otherwise result in a breach by Cisco of the same.
Licensor and Licensor. PARTNER may take pictures of the UNIT for promotional purposes, subject to LICENSEE’s prior acceptance, not to be unreasonably withheld.
Licensor and Licensor. Parties shall not be liable to Licensee for any injury or damage to persons or property, any loss or claim, or any interruption of Licensee’s operations or use of the Licensed Space EVEN IF CAUSED IN WHOLE OR IN PART BY THE NEGLIGENCE OF LICENSOR OR LICENSOR PARTIES unless any such injury, damage, loss, claim or interruption is due to Licensor’s gross negligence or willful misconduct. If there is any interruption of Licensee’s operations or use of the Licensed Space, then Licensee shall give Licensor written notice thereof and a reasonable opportunity to correct such condition (which shall, in no case, be less than thirty (30) days), and in the interim Licensee agrees that it shall not claim that it has been constructively evicted or is entitled to an abatement of the License Fee. To the extent permitted by applicable law, Licensee waives any right of offset against Licensee’s fee obligations that may be provided by any statute or rule of law in connection with Licensor’s duties under this Agreement.
Licensor and Licensor s representatives shall have the right to audit Licensee and its subcontractors, including, but not limited to, examining relevant information, financial statements, materials, data, records, files, facilities and equipment. This audit is allowed provided the following conditions are respected.
