LICENSING AGENTS. If you are an agent or representative acting on behalf of the owner of Intellectual Property or on behalf of any Licensee, then you agree, represent and warrant to NEGOSH that (a) you have all necessary rights and authorizations to represent the owner or Licensee and to license the Intellectual Property as posted and contracted; (b) you are agreeing to these Terms both for yourself and the owner or Licensee and have all necessary rights and authorizations to do so; (c) these Terms are binding on both you and the owner or Licensee (including but not limited to all of the limitations on NEGOSH’s liability set forth herein); and (d) both you and the owner or Licensee will comply with all of the terms and conditions of these Terms, including but not limited to the obligation to notify NEGOSH of any contracts as set forth above and to pay the fees as set forth herein.
