LICENSES AND PERMITS RELATING TO THE AUTOMOTIVE BUSINESS. On or prior to the Distribution Date, or as soon as reasonably practicable thereafter, Packaging shall (and if applicable, shall cause any other Person over which it has legal or effective direct or indirect control to) duly and validly transfer or cause to be duly and validly transferred to the appropriate member of the Automotive Group (as directed by Tenneco) all transferrable licenses, permits and authorizations issued by any Governmental Authority that relate exclusively to the Automotive Business but which are held in the name of any member of the Packaging Group or any of their respective employees, officers, directors, stockholders or agents.
