Licensee Performance Representations. Licensee, represents, warrants, and covenants and agrees to Agenus as follows: (a) the rights conferred hereunder are of significant importance and value to the business prospects of Licensee; (b) Licensee shall conduct all activities in the Territory with respect to the Agenus Product and Combination Product and its activities hereunder in accordance with this Agreement, the Specifications, and all applicable laws, rules, regulations and guidelines; (c) Licensee shall obtain and maintain all permits, licenses, filings, certifications or other authorizations required by Regulatory Authorities for the performance of its rights and obligations under this Agreement.
