Common use of Licensed Solutions; Limitations Clause in Contracts

Licensed Solutions; Limitations. If Customer has purchased a Licensed Solution, subject to this Agree- ment, AvePoint grants to Customer, and Customer agrees to pay for, a non-exclusive, non-transferable license to use the Licensed Solution. This license grant is solely for Cus- tomer’s Internal Use in accordance with this Agreement and the terms set forth on the applicable Documentation delivered with the Software. Except as expressly provided elsewhere in this Agreement, no sublicensing of use or ac- cess is permitted for any Solutions. The preceding sen- tence notwithstanding, and except as otherwise agreed between the Parties, Customer may distribute or deploy (but not sub-license) the Licensed Solution(s) to its Affili- ates for use solely by the maximum number of Authorised Users or licensed quantities set forth in the Order. Except as expressly set forth in this Agreement, no license is granted and none shall be deemed granted, by implica- tion, estoppel, or otherwise. Solutions sous licence ; Limitations. Cette concession de li- cence est uniquement destinée à l'usage interne du Client, conformément au présent Contrat et aux conditions énon- cées dans la Documentation applicable livrée avec le Lo- giciel. Sauf disposition expresse contraire dans le présent Contrat, aucune sous-licence d'utilisation ou d'accès n'est autorisée pour les Solutions. Nonobstant la phrase précé- dente, et sauf accord contraire entre les Parties, le Client peut distribuer ou déployer (mais non sous-licencier) la ou les Solutions sous licence à ses Affiliées pour une utilisa- tion uniquement par le nombre maximum d'Utilisateurs autorisés ou les quantités sous licence indiquées dans la Commande. Sauf disposition expresse du présent Contrat, aucune licence n'est accordée et aucune n'est réputée ac- cordée, implicitement, du fait d’une irrégularité ou autre moyen.
