Licensed Know-How. Licensee will keep Licensed Know-How confidential subject to Section 13.1 of this Agreement.
Licensed Know-How. On a Collaboration Target-by-Collaboration Target basis, CRISPR will promptly, but no later than [***] after Vertex exercises its Option for such Collaboration Target hereunder, make available and, at Vertex’s request, deliver to Vertex or one or more designated Affiliates all documented Licensed Know-How in CRISPR’s possession that has not previously been provided hereunder, for use in accordance with the exercise of the applicable Exclusive License. To assist with the transfer of such Licensed Know-How, CRISPR will make its personnel reasonably available to Vertex during normal business hours to transfer such Licensed Know-How under this Section 5.5.2 and Vertex will reimburse CRISPR for the reasonable costs of such assistance at the FTE Rate within 30 days after its receipt of an invoice therefor.
Licensed Know-How. Sanofi or its Affiliates Controls the Licensed Know-How set forth in Schedule 1.61.
Licensed Know-How. Flexion acknowledges that (a) the Licensed Know-How is secret and substantial and that without the Licensed Know-How, Flexion would not be able to apply to obtain and maintain Health Registration Approvals, (b) such Health Registration Approvals together with the Health Registration Approvals assigned or licensed to Flexion hereunder may give, or may allow Flexion to obtain and maintain, Data Exclusivity with respect to the Compound and Licensed Products, ***Confidential Treatment Requested
Licensed Know-How. As soon as is reasonably practicable after the Effective Date, Amgen will provide to Anthera the Licensed Know-How.
Licensed Know-How. The Parties acknowledge the substantial value of the Licensed Know How provided to Sanofi under this Agreement and, the significant contributions of Ardelyx in the Development and Commercialization of the Program Products as a result of the Licensed Know How provided hereunder to Sanofi, including enabling Sanofi to identify, make, optimize and characterize new Program Compounds that may not be covered or claimed by the Listed Patents. Accordingly, for their convenience, the Parties have provided for the payment of milestones and royalties pursuant to this Article 6 for Program Products, whether the active ingredient is an Ardelyx Compound or a Covered Compound.
Licensed Know-How. The term “Licensed Know-How” shall mean the proprietary, unpatented information and data that are described in Exhibit A of this Agreement, which have been developed by or for TSRI and are within the possession of the laboratories of [***] at TSRI, and which have been disclosed by TSRI to Licensee under the Research Funding and Option Agreement between the parties, dated September 26, 2013, and which may also be disclosed by TSRI to Licensee under the Research Funding and Option Agreement between the parties, dated September 11, 2015 (“New Research Agreement”).
Licensed Know-How. Subject to the terms and conditions of this Agreement, Vertex hereby grants to Xxxxx a non-exclusive, royalty-bearing, revocable (as set forth in Section 8.2), sublicenseable (solely as set forth in Section 2.5), nontransferable (except to the extent this Agreement is assigned by Xxxxx in accordance with Section 13.2) license under the Licensed Know-How to Research, Develop, Manufacture, have Manufactured, use, keep, sell, offer for sale, import, export and Commercialize the Assigned Compounds, Additional Compounds and Products containing the Assigned Compounds and/or Additional Compounds, for use in the Field in the Territory during the Term. Notwithstanding the license granted to Xxxxx under this Section 2.3, Vertex will not be obligated to provide Xxxxx with access to, or copies or physical embodiments of, any Licensed Know-How except as set forth herein.
Licensed Know-How. For purposes of this Supplemental Agreement and the 1999 Agreements, Licensed Know-How shall mean (a) all information, inventions, technology, and data regarding the PulmoSphere®Technology, the MediSpheres™ Technology, or the Bioavailability Technology which is not generally known and which is necessary or useful for Inhale to develop, manufacture, commercialize, or use Products, in which Alliance now has an ownership or licensable interest, and (b) all information and data regarding Licensable Improvements which is not generally known and which is necessary or useful for Inhale to develop, manufacture, commercialize or use Products, in which Alliance acquires an ownership or licensable interest.
Licensed Know-How. In furtherance of the licenses granted by Licensor to Lion under this Agreement, Licensor shall, or shall cause its Representatives, at Lion’s expense to (a) transfer to Lion within two (2) Business Days of the Effective Date a tangible or electronic copy of the Data and Documentation and (b) commence promptly after the Licensor’s receipt of a Notice of Provisioned Facility from Lion and use Commercially Reasonable Efforts to complete as soon as is reasonably practicable thereafter, the performance of the Demonstration of Concept for Lion in accordance with the Acceptance Criteria (“Transfer of Know-How”). The Parties acknowledge that the Transfer of Know-How under this Section 2.2 is subject to the Additional Terms. PolyBioCept will de-identify any pre-clinical or clinical trial data in the Data and Documentation and in any other Licensed Know-How to the extent necessary to permit such transfer.
