Common use of Liability on Default Clause in Contracts

Liability on Default. No Underwriter shall be liable to the Company under this Section 11 with respect to a default by any of the other Underwriters or another Underwriter’s U.S. Affiliate, as the case may be, or for any default resulting from the Company’s failure to comply with Applicable Securities Laws.
