Liability for Materials. Host Provider agrees that it will use all commercially reasonable efforts to protect any and all materials supplied to Host Provider hereunder by or on behalf of Customer. Notwithstanding the foregoing, Host Provider will not be liable for any loss, cost or damage thereto [, but only to the extent that any such loss, cost or damage is not due to the negligence or willful misconduct of Host Provider (or its employees or agents). In the event that any such loss, cost or damage arises out of Host Provider’s (or an employee or agent of Host Provider’s) actions or inactions, Host Provider shall promptly reimburse Customer for all reasonable costs associated with the replacing or fixing such materials].

OPBG shall not have any liability whatsoever resulting from, and Bellicum shall fully indemnify OPBG against, all claims, suits, actions, demands, liabilities and expenses brought against or suffered by Principal Investigator or OPBG; or its directors, officers or employees and against all costs incurred in connection therewith, arising out of or resulting from use of Materials.
Liability for Materials. Neither ▇▇▇▇▇▇ International nor any of its Affiliates will be liable for any Customer Materials supplied to the Facility by or on behalf of Customer, including any testing or other services performed by any third party; provided however, that ▇▇▇▇▇▇ International will transfer, or cause to transfer, to Customer any warranties received in respect of any of the foregoing.
Liability for Materials. Developed and Used in Connection with the Program. Bank shall be responsible for ensuring that all Solicitation Materials, Account Documentation and Credit Card designs comply with Applicable Law and the Operating Procedures, provided that Bank has produced or approved such materials, documents or designs. Notwithstanding the foregoing, each party shall be solely responsible for ensuring that its respective Inserts and statement messages comply with Applicable Law.
