Common use of Liability and Indemnifications Clause in Contracts

Liability and Indemnifications. Each party to this Agreement shall be responsible for the acts and/or omissions of its officers, employees, and agents in the performance of this Agreement. No party to this Agreement shall be responsible for the acts and/or omissions of entities or individuals not a party to this Agreement. The Contractor shall defend, indemnify, and hold harmless, the County, its directors, officers, agents and employees from any claims or liabilities for damages to persons or property caused by the acts and omissions of the Contractor or its agents, officers, employees and assigned staff.
