Letter of Counsel for the Company. Xxxxxx, Xxxx & Xxxxxxxx LLP, counsel for the Company, shall have furnished to the Representative, at the request of the Company, a letter, dated the Closing Date and addressed to the Underwriters, to the effect that (subject to customary qualifications, assumptions and limitations):
