Common use of Lender Credit Decision Clause in Contracts

Lender Credit Decision. Each Lender acknowledges that it has, independently and without reliance upon the Administrative Agent, either Joint Lead Arranger or any other Lender and based on the financial statements prepared by the Borrower and such other documents and information as it has deemed appropriate, made its own credit analysis and decision to enter into this Agreement and the other Loan Documents. Each Lender also acknowledges that it will, independently and without reliance upon the Administrative Agent, either Joint Lead the Arranger or any other Lender and based on such documents and information as it shall deem appropriate at the time, continue to make its own credit decisions in taking or not taking action under this Agreement and the other Loan Documents.

Lender Credit Decision. Each Lender acknowledges that it has, independently and without reliance upon the Administrative Agent, either Joint Lead Arranger Agent or any other Lender and based on the financial statements prepared by the Borrower and/or the Guarantor and such other documents and information as it has deemed appropriate, made its own credit analysis and decision to enter into this Agreement and the other Loan Documents. Each Lender also acknowledges that it will, independently and without reliance upon any of the Administrative Agent, either Joint Lead Arranger Agent or any other Lender and based on such documents and information as it shall deem appropriate at the time, continue to make its own credit decisions in taking or not taking action under this Agreement and the other Loan Documents.

Lender Credit Decision. Each Lender acknowledges that it has, independently and without reliance upon the Administrative Agent, either Joint Lead the Collateral Agent, the Arranger or any other Lender and based on the financial statements prepared by the Borrower and such other documents and information as it has deemed appropriate, made its own credit analysis and decision to enter into this Agreement and the other Loan Documents. Each Lender also acknowledges that it will, independently and without reliance upon the Administrative Agent, either Joint Lead the Collateral Agent, the Arranger or any other Lender and based on such documents and information as it shall deem appropriate at the time, continue to make its own credit decisions in taking or not taking action under this Agreement and the other Loan Documents.

Lender Credit Decision. Each Lender acknowledges that it has, independently and without reliance upon the Administrative Agent, either Joint the Sole Lead Arranger or any other Lender and based on the financial statements prepared by the Borrower Parent and such other documents and information as it has deemed appropriate, made its own credit analysis and decision to enter into this Agreement and the other Loan Documents. Each Lender also acknowledges that it will, independently and without reliance upon the Administrative Agent, either Joint the Sole Lead Arranger or any other Lender and based on such documents and information as it shall deem appropriate at the time, continue to make its own credit decisions in taking or not taking action under this Agreement and the other Loan Documents.

Lender Credit Decision. Each Lender acknowledges that it has, independently and without reliance upon the Administrative Agent, either Joint Lead Arranger the LC Issuer or any other Lender and based on the financial statements prepared by the Borrower and such other documents and information as it has deemed appropriate, made its own credit analysis and decision to enter into this Agreement and the other Loan Documents. Each Lender also acknowledges that it will, independently and without reliance upon the Administrative Agent, either Joint Lead Arranger the LC Issuer or any other Lender and based on such documents and information as it shall deem appropriate at the time, continue to make its own credit decisions in taking or not taking action under this Agreement and the other Loan Documents.

Lender Credit Decision. Each Lender acknowledges that it has, independently and without reliance upon the Administrative Agent, either Joint Lead the Arranger or any other Lender and based on the financial statements prepared by the Parent or the Borrower and such other documents and information as it has deemed appropriate, made its own credit analysis and decision to enter into this Agreement and the other Loan Documents. Each Lender also acknowledges that it will, independently and without reliance upon the Administrative Agent, either Joint Lead the Arranger or any other Lender and based on such documents and information as it shall deem appropriate at the time, continue to make its own credit decisions in taking or not taking action under this Agreement and the other Loan Documents.

Lender Credit Decision. Each Lender acknowledges that it has, independently and without reliance upon the Administrative AgentAgents, either Joint Lead the Arranger or any other Lender and based on the financial statements prepared by the Borrower and such other documents and information as it has deemed appropriate, made its own credit analysis and decision to enter into this Agreement and the other Loan Documents. Each Lender also acknowledges that it will, independently and without reliance upon the Administrative AgentAgents, either Joint Lead the Arranger or any other Lender and based on such documents and information as it shall deem appropriate at the time, continue to make its own credit decisions in taking or not taking action under this Agreement and the other Loan Documents.

Lender Credit Decision. Each Lender acknowledges that it has, independently and without reliance upon the Senior Administrative Agent, either Joint Lead Arranger the Administrative Agent or any other Lender and based on the financial statements prepared by the Borrower Company or any Subsidiary and such other documents and information as it has deemed appropriate, made its own credit analysis and decision to enter into this Agreement and the other Loan Documents. Each Lender also acknowledges that it will, independently and without reliance upon the Senior Administrative Agent, either Joint Lead Arranger the Administrative Agent or any other Lender and based on such documents and information as it shall deem appropriate at the time, continue to make its own credit decisions in taking or not taking action under this Agreement and the other Loan Documents.

Lender Credit Decision. Each Lender acknowledges that it has, independently and without reliance upon the Administrative Agent, either Joint Lead Arranger the Collateral Agent, any Original Lender or any other Lender and based on the financial statements prepared by the Borrower and such other documents and information as it has deemed appropriate, made its own credit analysis and decision to enter into this Agreement and the other Loan Documents. Each Lender also acknowledges that it will, independently and without reliance upon the Administrative Agent, either Joint Lead Arranger the Collateral Agent or any other Lender and based on such documents and information as it shall deem appropriate at the time, continue to make its own credit decisions in taking or not taking action under this Agreement and the other Loan Documents.

Lender Credit Decision. Each Lender acknowledges that it has, independently and without reliance upon the Administrative Agent, either Joint Lead any Agent, the Arranger or any other Lender and based on the financial statements prepared by the Borrower or the Company and such other documents and information as it has deemed appropriate, made its own credit analysis and decision to enter into this Agreement and the other Loan Documents. Each Lender also acknowledges that it will, independently and without reliance upon the Administrative Agent, either Joint Lead any Agent, the Arranger or any other Lender and based on such documents and information as it shall deem appropriate at the time, continue to make its own credit decisions in taking or not taking action under this Agreement and the other Loan Documents. 11.12.

Lender Credit Decision. Each Lender acknowledges that it has, independently and without reliance upon the Administrative Agent, either Joint Lead the Arranger or any other Lender and based on the financial statements prepared by the Borrower Company and the Other Guarantors and such other documents and information as it has deemed appropriate, made its own credit analysis and decision to enter into this Agreement and the other Loan Documents. Each Lender also acknowledges that it will, independently and without reliance upon the Administrative Agent, either Joint Lead the Arranger or any other Lender and based on such documents and information as it shall deem appropriate at the time, continue to make its own credit decisions in taking or not taking action under this Agreement and the other Loan Documents.

Lender Credit Decision. Each Lender acknowledges that it has, independently and without reliance upon the Administrative Agent, either Joint Lead the Arranger or any other Lender and based on the financial statements prepared by the Borrower or the Company and such other documents and information as it has deemed appropriate, made its own credit analysis and decision to enter into this Agreement and the other Loan Documents. Each Lender also acknowledges that it will, independently and without reliance upon the Administrative Agent, either Joint Lead the Arranger or any other Lender and based on such documents and information as it shall deem appropriate at the time, continue to make its own credit decisions in taking or not taking action under this Agreement and the other Loan Documents.

Lender Credit Decision. Each Lender acknowledges that it has, independently and without reliance upon the Administrative Agent, either Joint Lead Arranger the Arranger, or any other Lender and based on the financial statements prepared by the Borrower Obligated Parties and such other documents and information as it such Lender has deemed appropriate, made its own credit analysis and decision to enter into this Agreement and the other Loan Documents. Each Lender also acknowledges that it will, independently and without reliance upon the Administrative Agent, either Joint Lead Arranger the Arranger, or any other Lender and based on such documents and information as it such Lender shall deem appropriate at the time, continue to make its own credit decisions in taking or not taking action under this Agreement and the other Loan Documents.

Lender Credit Decision. Each Lender acknowledges that it has, independently and without reliance upon the Administrative Agent, either Joint Lead the Arranger or any other Lender and based on the financial statements prepared by the Borrower and such other documents and information as it has deemed appropriate, made its own credit analysis and decision to enter into this Agreement and the other Loan Documents. Each Lender also acknowledges that it will, independently and without reliance upon the Administrative Agent, either Joint Lead the Arranger or any other Lender and based on such documents 44 51 and information as it shall deem appropriate at the time, continue to make its own credit decisions in taking or not taking action under this Agreement and the other Loan Documents.

Lender Credit Decision. Each Lender acknowledges that it has, independently and without reliance upon the Administrative AgentAgents, either Joint Lead the Arranger or any other Lender and based on the financial statements prepared by the Parent, Warrior or Borrower and such other documents and information as it has deemed appropriate, made its own credit analysis and decision to enter into this Agreement and the other Loan Documents. Each Lender also acknowledges that it will, independently and without reliance upon the Administrative AgentAgents, either Joint Lead the Arranger or any other Lender and based on such documents and information as it shall deem appropriate at the time, continue to make its own credit decisions in taking or not taking action under this Agreement and the other Loan Documents.

Lender Credit Decision. Each Lender acknowledges that it has, independently and without reliance upon the Administrative Agent, either Joint Lead the Arranger or any other Lender and based on the financial statements prepared by the Borrower and such other documents and information as it has deemed appropriate, made its own credit analysis and decision to enter into this Agreement and the other Loan Credit Documents. Each Lender also acknowledges that it will, independently and without reliance upon the Administrative Agent, either Joint Lead the Arranger or any other Lender and based on such documents and information as it shall deem appropriate at the time, continue to make its own credit decisions in taking or not taking action under this Agreement and the other Loan Credit Documents.

Lender Credit Decision. Each Lender acknowledges that it has, independently and without reliance upon the Administrative Agent, either Joint Lead Arranger the Audit Agent or any other Lender and based on the financial statements prepared by Parent and the Borrower Borrowers and such other documents and information as it has deemed appropriate, made its own credit analysis and decision to enter into this Agreement and the other Loan DocumentsFinancing Agreements. Each Lender also acknowledges that it will, independently and without reliance upon the Administrative Agent, either Joint Lead Arranger the Audit Agent or any other Lender and based on such documents and information as it shall deem appropriate at the time, continue to make its own credit decisions in taking or not taking action under this Agreement and the other Loan DocumentsFinancing Agreements.

Lender Credit Decision. Each Lender acknowledges that it has, independently and without reliance upon the Administrative Agent, either Joint the Lead Arranger or any other Lender and based on the financial statements prepared by the Borrower Borrowers and such other documents and information as it has deemed appropriate, made its own credit analysis and decision to enter into this Agreement and the other Loan Documents. Each Lender also acknowledges that it will, independently and without reliance upon the Administrative Agent, either Joint the Lead Arranger or any other Lender and based on such documents and information as it shall deem appropriate at the time, continue to make its own credit decisions in taking or not taking action under this Agreement and the other Loan Documents.

Lender Credit Decision. Each Lender acknowledges that it has, independently and without reliance upon the Administrative Agent, either Joint Lead Arranger or any other Lender Lender, and based on the financial statements prepared by the Borrower and Puget Energy and such other documents and information as it has deemed appropriate, made its own credit analysis and decision to enter into this Agreement and the other Loan Documents. Each Lender also acknowledges that it will, independently and without reliance upon the Administrative Agent, either Joint Lead Arranger or any other Lender Lender, and based on such documents and information as it shall deem appropriate at the time, continue to make its own credit decisions in taking or not taking action under this Agreement and the other Loan Documents.

Lender Credit Decision. Each Lender acknowledges that it has, independently and without reliance upon the Administrative Agent, either Joint Lead the Arranger or any other Lender and based on the financial statements prepared by the Borrower Company and such other documents and information as it has deemed appropriate, made its own credit analysis and decision to enter into this Agreement and the other Loan Documents. Each Lender also acknowledges that it will, independently and without reliance upon the Administrative Agent, either Joint Lead the Sidley Xxxxxx Xxxxx & Xxxx Arranger or any other Lender and based on such documents and information as it shall deem appropriate at the time, continue to make its own credit decisions in taking or not taking action under this Agreement and the other Loan Documents.

Lender Credit Decision. Each Lender acknowledges that it has, independently and without reliance upon the Administrative Agent, either Joint Lead Arranger any Issuer or any other Lender and based on the financial statements prepared by the Borrower referred to in ARTICLE IV and such other documents and information as it has deemed appropriate, made its own credit analysis and decision to enter into this Agreement and the other Loan Documents. Each Lender also acknowledges that it will, independently and without reliance upon the Administrative Agent, either Joint Lead Arranger any Issuer or any other Lender and based on such documents and information as it shall deem appropriate at the time, continue to make its own credit decisions in taking or not taking action under this Agreement and the other Loan Documents.

Lender Credit Decision. Each Lender acknowledges that it has, independently and without reliance upon the Administrative Agent, either Joint Lead the Arranger or any other Lender and based on the financial statements prepared by MetLife and the Borrower Company and such other documents and information as it has deemed appropriate, made its own credit analysis and decision to enter into this Agreement and the other Loan Documents. Each Lender also acknowledges that it will, independently and without reliance upon the Administrative Agent, either Joint Lead the Arranger or any other Lender and based on such documents and information as it shall deem appropriate at the time, continue to make its own credit decisions in taking or not taking action under this Agreement and the other Loan Documents.

Lender Credit Decision. Each Lender acknowledges that it has, independently and without reliance upon the Administrative Agent, either Joint Lead the Arranger or any other Lender and based on the financial statements prepared by the Borrower and the Guarantors and such other documents and information as it has deemed appropriate, made its own credit analysis and decision to enter into this Agreement and the other Loan Documents. Each Lender also acknowledges that it will, independently and without reliance upon the Administrative Agent, either Joint Lead the Arranger or any other Lender and based on such documents and information as it shall deem appropriate at the time, continue to make its own credit decisions in taking or not taking action under this Agreement and the other Loan Documents.

Lender Credit Decision. Each Lender acknowledges that it has, independently and without reliance upon the Administrative Agent, either Joint Lead Arranger Agent or any other Lender and based on the financial statements prepared by the Borrower referred to in Section 4.01 and such other documents and information as it has deemed appropriate, made its own credit analysis and decision to enter into this Agreement and the other Loan DocumentsAgreement. Each Lender also acknowledges that it has and will, independently and without reliance upon the Administrative Agent, either Joint Lead Arranger Agent or any other Lender and based on such documents and information as it shall deem appropriate at the time, has made and will continue to make its own credit decisions in entering into this Agreement and the other Loan Documents and in taking or not taking action under this Agreement and or under the other Loan Documents.

Lender Credit Decision. Each Lender acknowledges that it has, independently and without reliance upon the Administrative Agent, either Joint Lead any Arranger or any other Lender Lender, and based on the financial statements prepared by the Borrower and such other documents and information as it has deemed appropriate, made its own credit analysis and decision to enter into this Agreement and the other Loan Documents. Each Lender also acknowledges that it will, independently and without reliance upon the Administrative Agent, either Joint Lead any Arranger or any other Lender Lender, and based on such documents and information as it shall deem appropriate at the time, continue to make its own credit decisions in taking or not taking action under this Agreement and the other Loan Documents.

Lender Credit Decision. Each Lender acknowledges that it has, independently and without reliance upon the Administrative Agent, either Joint Lead Arranger the Issuing Lenders or any other Lender and based on the financial statements prepared by the Borrower and such other documents and information as it has deemed appropriate, made its own credit analysis and decision to enter into this Agreement and the other Loan Credit Documents. Each Lender also acknowledges that it will, independently and without reliance upon the Administrative Agent, either Joint Lead Arranger the Issuing Lenders or any other Lender and based on such documents and information as it shall deem appropriate at the time, continue to make its own credit decisions in taking or not taking action under this Agreement and the other Loan Credit Documents.

Lender Credit Decision. Each Lender acknowledges that it has, independently and without reliance upon the Administrative Agent, either Joint Lead Arranger Agent or any other Lender and based on the Information Memorandum and other financial statements prepared by the Borrower information referred to in Sections 8.1(k) and such other documents and information as it has deemed appropriate, made its own credit analysis and decision to enter into this Agreement and the other Loan Documents. Each Lender also acknowledges that it will, independently and without reliance upon the Administrative Agent, either Joint Lead Arranger Agent or any other Lender and based on such documents and information as it shall deem appropriate at the time, continue to make its own credit decisions in taking or not taking action under this Agreement and or the other Loan Documents.

Lender Credit Decision. Each Lender acknowledges that it has, independently and without reliance upon the Administrative Agent, either Joint Lead the Arranger or any other Lender and based on the financial statements prepared by the Borrower and the other Credit Parties and such other documents and information as it has deemed appropriate, made its own credit analysis and decision to enter into this Agreement and the other Loan Documents. Each Lender also acknowledges that it will, independently and without reliance upon the Administrative Agent, either Joint Lead the Arranger or any other Lender and based on such documents and information as it shall deem appropriate at the time, continue to make its own credit decisions in taking or not taking action under this Agreement and the other Loan Documents.

Lender Credit Decision. Lender Credit Decision. Lender Credit Decision. Each Lender acknowledges that it has, independently and without reliance upon the Administrative AgentAgents, any Affiliate of either Joint Lead Arranger of the Agents or any other Lender and based on the financial statements prepared by the Borrower Borrowers and such other documents and information as it has deemed appropriate, made its own credit analysis and decision to enter into this Agreement and the other Loan Documents. Each Lender also acknowledges that it will, independently and without reliance upon the Administrative AgentAgents, any Affiliate of either Joint Lead Arranger of the Agents or any other Lender and based on such documents and information as it shall deem appropriate at the time, continue to make its own credit decisions in taking or not taking action under this Agreement and the other Loan Documents.
