Common use of Lender Authorization Clause in Contracts

Lender Authorization. Neither the execution and delivery of this Agreement, nor the occurrence of the obligations set forth in this Agreement, nor the consummation of the transactions contemplated by this Agreement, nor compliance with the terms of this Agreement will (i) conflict with or result in a breach of any of the terms, conditions, or provisions of, or constitute a default under, the organizational and governing documents of Buyer, any bond, note or other evidence of indebtedness or any contract, indenture, mortgage, deed of trust, loan, agreement, lease or other agreement or instrument to which Buyer is a party or by which any of Buyer's properties may be bound, (ii) constitute a violation of any judgment, decree or order applicable to Buyer, or (iii) require the consent, waiver of approval of any third party which has not been obtained by Buyer, which, in the aggregate, would have a material adverse effect on Buyer's ability to perform its obligations hereunder;
