LEGEND CONDITION. ASSI understands that its right to assign, transfer, pledge, sell, hypothecate, exchange or otherwise dispose of the Shares shall be restricted by legend conditions, when appropriate, in accordance with the provisions of the Securities Act and any applicable Blue Sky laws and shall contain a legend that reflects that the Shares are subject to and bound by the provisions of Section 8.1 of this Agreement.
