Common use of Legality of Transactions Clause in Contracts

Legality of Transactions. It shall not be unlawful for any Person, including the Agent or any Lender, to perform any of its agreements or obligations under any of the Lender Agreements to which the Agent or such Lender is a party on the date of such Term Loan Advance.

It shall not be unlawful for any Person(i)for the Agent, including the Documentation Agent or any Lender, of the Banks to perform any of their respective agreements or obligations under any of the Credit Documents or (ii) any other party to perform any of its agreements or obligations under any of the Lender Agreements Credit Documents to which the Agent it is or such Lender is to become a party on the date of such Term Loan AdvanceAcquisition Date.

It shall not be unlawful (A) for any Person, including the Agent or any Lender, Lender to perform any of its their respective agreements or obligations under any of the Lender Agreements Loan Documents to which the Agent or such Lender is a party on the date of such Term Loan, or (B) for the Borrower or Guarantor to perform any of their respective agreements or obligations under any of the Loan AdvanceDocuments to which it is a party on such date.

It shall not be unlawful for any Person, including Lender or the Agent or any Lender, to perform any of its agreements or obligations under any of the Lender Agreements Loan Documents to which the Agent or such Lender Person is a party on the date Draw Date of such Term Loan Advanceor for any Borrower to perform any of its material agreements or obligations under any of the Loan Documents.

It shall not be unlawful for any Person, Person including the Agent or any Lender, Lender to perform any of its agreements or obligations under any of the Lender Agreements Loan Documents to which the Agent or such Lender is a party on the date Drawdown Date of such Term Loan Revolving Credit Advance.

It shall not be unlawful (a) for any Person, including the Agent or any Lender, Lender to perform any of its agreements or obligations under any of the Lender Agreements Loan Documents to which the Agent or such Lender is a party on the Drawdown Date of such Advance or the date of issuance of such Term Letter of Credit, or (b) for any Person other than the Agent and the Lenders to perform any of their respective agreements or obligations under any of the Loan AdvanceDocuments to which any of them is a party on such date.

It shall not be unlawful (i) for any Person, including Lender or the Agent or any Lender, to perform any of its agreements or obligations under any of the Lender Agreements Loan Documents to which the Agent or such Lender Person is a party on the date Draw Date of such Term Loan Advanceor (ii) for Borrower to perform any of its material agreements or obligations under any of the Loan Documents.

It shall not be unlawful (i) for any Person, including the Lender or Agent or any Lender, to perform any of its agreements or obligations under any of the Lender Agreements Loan Documents to which the Agent or such Lender Person is a party on the date on which such Loan is to be made or Letter of such Term Credit is to be issued or (ii) for Borrower to perform any of its material agreements or obligations under any of the Loan AdvanceDocuments.
