Common use of Legal Opinions Clause in Contracts

Legal Opinions. The Administrative Agent shall have received, with a counterpart for each Lender, the executed legal opinions of counsel to the Borrower, which opinions shall be satisfactory in form and substance to the Administrative Agent.

The Administrative Agent shall have received, with a counterpart for each Lender, the executed received legal opinions of from counsel to the BorrowerLoan Parties, which opinions shall be satisfactory each in form and substance reasonably satisfactory to the Administrative Agent, addressing those matters relating to the Project, the Transaction Documents and the transactions contemplated therein, and the Collateral, as the Administrative Agent may reasonably request.

Legal Opinions. The Administrative Agent shall have receivedreceived customary legal opinions, with a counterpart for each Lender, the executed legal opinions of counsel to the Borrower, which opinions shall be satisfactory in form and substance addressed to the Administrative Agent.Agent and the Lenders (and which shall expressly permit reliance by/disclosure to the successors and permitted assigns of each of the Administrative Agent and the Lenders), from:

Legal Opinions. The Administrative Agent shall have received, with received a counterpart for each Lender, the executed favorable legal opinions of opinion from counsel to the BorrowerBorrowers, which opinions shall be satisfactory addressed to the Administrative Agent and the Lenders, dated as of the Closing Date, in form and substance satisfactory to the Administrative Agent.

Legal Opinions. The Administrative Agent shall have received, with a counterpart for each Lender, received the executed legal opinions of counsel to the Borrower, which opinions shall be satisfactory Credit Parties in form and substance reasonably satisfactory to the Administrative Agent. The Borrower, the other Credit Parties and the Administrative Agent hereby instruct such counsel to deliver such legal opinions.

Legal Opinions. (i) The Administrative Agent shall have received, with a counterpart for each Lender, received the executed legal opinions opinion of Xxxxxxx Xxxxx LLP, counsel to the BorrowerBorrowers, which opinions shall be satisfactory in form and substance reasonably acceptable to the Administrative Agent.

The Administrative Agent shall have received, with a counterpart for addressed to each LenderPurchaser and the Trustee, the executed legal opinions of counsel with respect to such other matters as may be reasonably requested by the BorrowerAdministrative Agent, which opinions shall be satisfactory in form and substance reasonably acceptable to the Administrative Agentaddressees thereof and their counsel.

The Administrative Agent shall have received, with received a counterpart for each Lender, the executed legal opinions of opinion from U.S. Borrowers' outside counsel to the Borrower, which opinions shall be satisfactory in form and substance reasonably acceptable to the Administrative Agent.

The Administrative Agent shall have receivedreceived the legal opinion of Xxxxxxxx & Xxxxx LLP, with a counterpart for each Lender, the executed legal opinions of counsel to the Borrower, which opinions opinion shall be satisfactory in form and substance reasonably satisfactory to the Administrative Agent.

The Administrative Agent shall have received, received an Opinion of Counsel with a counterpart for each Lender, the executed legal opinions of counsel respect to the Borrowerdue authorization, which execution and enforceability of the Loan Documents executed by Borrower and the Guarantor and opinions with respect to such other matters as Administrative Agent shall be satisfactory in form and substance to the Administrative Agentreasonably require.

The Administrative Agent shall have received, with a counterpart for each Lender, the executed legal opinions of counsel to the Borrower, Borrower (which opinions shall not be satisfactory “Accord” opinions) in form and substance satisfactory to the Administrative AgentAgent and its counsel, as to First Amendment being duly authorized and the legal, valid and binding obligation of the Borrower, enforceable in accordance with its terms.

The Administrative Agent shall have received, with a counterpart for each Lender, the received executed legal opinions of (including opinions (i) from counsel to the Borrower, which opinions shall Borrower and (ii) from such special and local counsel as may be satisfactory in form and substance to reasonably required by the Administrative Agent), which shall be reasonably satisfactory to the Arrangers.

The Administrative Agent shall have has received, with a counterpart for each Lenderto its satisfaction, the executed legal opinions of from counsel to the BorrowerBorrower and the Lenders, which opinions shall be satisfactory in form and substance as to the Administrative Agentvalidity and enforceability of the Loan Documents and the capacity and authority of the Borrower.

Legal Opinions. The Administrative Agent shall have received, with received a counterpart for each Lender, the executed legal opinions of opinion from Borrowers' outside counsel to the Borrower, which opinions shall be satisfactory in form and substance reasonably acceptable to the Administrative Agent.

Legal Opinions. The Administrative Agent shall have received, with a counterpart for each Lender, received the executed legal opinions opinion of internal counsel to the BorrowerLoan Parties, which opinions shall be satisfactory in form and substance reasonably satisfactory to the Administrative Agent. Such legal opinions shall cover such matters incident to the transactions contemplated by this Agreement and the other Loan Documents as the Administrative Agent may reasonably require.

Legal Opinions. The Administrative Agent shall have received, with a counterpart for each Lender, received the executed legal opinions of counsel to the BorrowerBorrower and the Equityholder, which opinions shall be satisfactory in form and substance reasonably satisfactory to the Administrative AgentAgent covering (i) customary corporate matters and (ii) true sale matters, in each case as the Administrative Agent may reasonably request.

Legal Opinions. The Administrative Agent shall have received, with a counterpart for each Lender, the received duly executed legal opinions of counsel to the Borrower, which opinions shall be satisfactory in form Borrower and substance the Guarantors addressed to the Administrative AgentAgents and the Initial Lenders.

Legal Opinions. The Administrative Agent (or its counsel) shall have received, with a counterpart for each Lender, the executed legal received written opinions of counsel the Borrowers’ counsel, addressed to the Borrower, which opinions shall be satisfactory Administrative Agent and the Lenders in form and substance reasonably satisfactory to the Administrative Agent.

Legal Opinions. The Administrative Agent shall have received, with a counterpart for each Lender, the executed legal received an opinion or opinions of counsel for the Credit Parties, dated the Effective Date and addressed to the Borrower, Administrative Agent and the Lenders which opinions shall be satisfactory in form and substance satisfactory to the Administrative Agent.

The Administrative Agent shall have received, with a counterpart for each Lender, the executed legal opinions opinion of Xxxxxx & Xxxxxxx LLP, special counsel to the BorrowerBorrower and the other Loan Parties, which opinions shall be satisfactory in form and substance satisfactory to the Administrative Agent (it being agreed that the form of such opinion that is consistent with opinion delivered in connection with the Existing Credit Agreement shall be satisfactory to the Administrative Agent).

Legal Opinions. The Administrative Agent shall have received, with a counterpart for each Lender, received the executed legal opinions opinion of counsel to the Borrower, Borrower (which opinions shall not be satisfactory an “Accord” opinion) in form and substance satisfactory to the Administrative AgentAgent and its counsel. Such legal opinion shall cover such matters incident to the transactions contemplated by this Agreement as the Administrative Agent or any Lender may reasonably require.

The (i) Administrative Agent shall have received, with a counterpart for each Lender, the received an executed legal opinions opinion of Xxxxxxxxx Xxxxxx PLLC, counsel to the BorrowerCredit Parties, which opinions opinion shall be satisfactory addressed to Agents and the other Secured Parties and shall be in form and substance reasonably satisfactory to the Administrative Agent.;

The Administrative Agent shall have received, with a counterpart for each Lender, the executed legal opinions opinion of counsel to the BorrowerBorrowers, which opinions shall be satisfactory in form and substance reasonably satisfactory to the Administrative Agent. The legal opinion shall cover such matters incident to the transactions contemplated by this Agreement as the Administrative Agent, the Increasing Lenders and the New Lenders may reasonably require in accordance with customary opinion practice.

Legal Opinions. The Administrative Agent shall have received, with a counterpart for each LenderLender and the Administrative Agent, the executed legal opinions of counsel to the BorrowerBorrower and each of its Subsidiaries that is a party to the Guaranty and Security Agreement, which opinions shall be satisfactory in form and substance satisfactory to the Administrative Agent.

Legal Opinions. The If requested by the Administrative Agent or the Required Lenders (i) the Administrative Agent shall have received, with a counterpart for each Lender, the copies of such executed legal opinions with respect to, and to the extent delivered in connection with, such Permitted Acquisition, and the Borrower shall use its best efforts to obtain letters from counsel delivering such opinions permitting the Administrative Agent and the Lenders to rely thereon and (ii) an opinion of counsel to the BorrowerLoan Parties, which opinions shall be satisfactory in form and substance satisfactory to the Administrative Agent.

Legal Opinions. The Administrative Agent shall have received, with a counterpart for each Lender, received the following executed legal opinions opinions: (i) an opinion of counsel to Holdings, the BorrowerBorrower and its Restricted Subsidiaries, which opinions shall substantially in the form of Exhibit F and (ii) of such other local counsel as may reasonably be satisfactory required by the Administrative Agent and an opinion of counsel to WIL in each case in form and substance satisfactory to the Administrative Agent (and the Borrower hereby instructs each such counsel to deliver such opinion to the Lenders and the Administrative Agent).

Legal Opinions. The Administrative Agent shall have received, with received a counterpart for each Lender, the executed favorable legal opinions of opinion from counsel to each of the BorrowerBorrowers, which opinions shall be satisfactory addressed to the Administrative Agent and the Banks, dated as of the Closing Date, in form and substance satisfactory to the Administrative Agent.

Legal Opinions. The Administrative Agent shall have received, with a counterpart for each Lender, the executed legal opinions opinion of counsel to the Borrower, Borrower (which opinions shall not be satisfactory in form and substance an “Accord” opinion). Such legal opinion shall cover such matters incident to the transactions contemplated by the Second Amendment and the Agreement as the Administrative AgentAgent or any Lender may reasonably require.

Legal Opinions. The Administrative Agent shall have received, with a counterpart for each Lender, the executed legal opinions of counsel to the BorrowerBorrower and special Canadian counsel to the Administrative Agent, which opinions shall be satisfactory in form and substance to the Administrative Agent.

Legal Opinions. The Administrative Agent shall have received, with a counterpart for each Lender, the executed legal opinions of received from counsel to the Borrower, which Borrowers an opinion or opinions shall be reasonably satisfactory in form and substance to the Administrative Agentit.

The Administrative Agent shall have received, with a counterpart for each Lender, the received an executed legal opinions of counsel to the Borroweropinion, which opinions shall be satisfactory in form and substance reasonably acceptable to the Administrative Agent, of counsel to such Additional Borrower reasonably acceptable to the Administrative Agent.

The Administrative Agent shall have received, with a counterpart for each Lender, the executed legal opinions opinion of a special English counsel to the BorrowerCompany and the other Loan Parties, which opinions shall be satisfactory in form and substance to the Administrative Agent, covering customary matters as the Administrative Agent may reasonably require.

Legal Opinions. The Administrative Agent shall have received, with a counterpart for each Lender, the executed legal opinions received an opinion of counsel to the BorrowerCredit Parties, which opinions shall be satisfactory dated the date of such Borrowing and addressed to the Administrative Agent and the Lenders in form and substance reasonably satisfactory to the Administrative AgentAgent and the Lenders.

Legal Opinions. The Administrative Agent shall have received, with a counterpart for each Lender, the executed legal received opinions of counsel to the Borrower, which opinions shall be satisfactory Borrowers in form and substance reasonably satisfactory to the Administrative Agent.
