Common use of Legal Opinions of Counsel Clause in Contracts

Legal Opinions of Counsel. (i) The Administrative Agent shall have received an opinion of Fox, Rothschild, O'Brien & Xxxxxxx, U.S. counsel for the Consolidated Parties, dated the Closing Date and addressed to the Administrative Agent, the Security Trustee and the Lenders, in form and substance acceptable to the Administrative Agent and the Security Trustee which shall include, without limitation, an opinion as to compliance on the Closing Date by the Borrower and its Subsidiaries with all material corporate instruments and agreements.
